Allen Latta

Allen Latta has significant experience in venture capital and private equity financings, mergers and acquisitions, and public offerings. Allen's career spans law, investment banking and private equity advisory services. In addition to his Of Counsel role at Futterman Dupree Dodd Croley Maier, Allen is the Managing Director, CEO and General Counsel for Campton Private Equity Advisors (www.camptonpe.com), a private equity fund-of-funds advisor that provides investment advisory services to Private Equity Investor plc, a private equity fund-of-funds that is listed on the London Stock Exchange (LSE: PEQ.L; www.peiplc.com). Prior to founding the Campton Group, Allen was the Director, Business Development, head of the US office, and member of the board of directors of global private equity fund-of-funds manager VenCap International Plc. Allen is also an Advisor to Discern Securities, Inc. (www.discernsecurities.com), the investment banking division of Discern Analytics, a cloud-based data analytics company. Allen's investment banking experience also includes serving as a senior banker in the West Coast Telecom Investment Banking Group at Bear, Stearns & Co. and before that as a Director in the Media and Telecommunications Group at CIBC World Markets. As an investment banker, Allen has advised clients in transactions exceeding $2 billion dollars. Allen's prior legal experience includes serving as a corporate finance attorney with Morgan, Lewis & Bockius and with Buchalter, Nemer, Fields & Younger, where he specialized in venture capital and private equity transactions, public offerings, mergers & acquisitions, international commercial transactions and general corporate and securities matters. Allen has represented a variety of clients, including venture-capital backed technology companies, venture capital funds, institutional investors, insurance companies, restaurants and clubs, automobile dealerships, retail stores, and garment manufacturers. Allen received an MBA from The Anderson School at UCLA where he graduated as a member of the Anderson Honor Society, a JD from UC Hastings College of Law where he served as a Note and Comment Editor of the Hastings Constitutional Law Quarterly and received an American Jurisprudence award, and a BA in Economics from UCLA where he graduated as a Chancellor's Marshall. Allen is a CFA Charterholder (www.cfainstitute.org) and a CAIA Charterholder (www.caia.org). Allen holds FINRA licenses Series 7, 63 and 79 (www.finra.org). Jaime G. Touchstone

Jaime Touchstone focuses her practice on general civil, complex commercial and employment litigation, handling all aspects of the process, including case evaluation, legal research, discovery, motion practice, and alternative dispute resolution, including mediation and settlement conferences. Jaime regularly appears in state and federal courts and before administrative boards (such as the Labor Commissioner, the Unemployment Insurance Appeals Board, and the Department of Personnel Administration) on behalf of privately and publicly held businesses, partnerships, sole proprietorships, public entities, receivers, and individuals (including C-Suite executives). She also regularly provides employment law advice, counsel, and strategy to her clients, in the areas of wrongful termination, harassment and discrimination; trade secrets; wage and hour compliance; entrances and exits from the workplace; negotiation of executive compensation packages (including equity), consulting agreements and severance packages; and drafting of employment handbooks, contracts and policies for businesses of all sizes. Jaime is a leader in the legal community and is particularly interested in advancing the rights of women and girls locally, nationally and across the globe. She serves on the board and executive committee of the International Action Network for Gender Equity & Law (IANGEL) and remains active in the Queen's Bench Bar Association, for which she served as President in 2015 and Foundation President in 2016. She is involved in the Bar Association of San Francisco (BASF), including BASF's Women's Impact Network which strives to promote the advancement of women in the legal profession. She was integral in proposing and planning BASF's inaugural Board Balance Conference, with the goal of training women for, and encouraging for profit and nonprofit board service. Jamie L. Dupree

Jamie Dupree's practice focuses on complex business and employment litigation. Jamie regularly litigates business "divorce" cases involving ownership disputes in closely-held companies. She also regularly defends companies and individuals in employment litigation. Jamie has litigated business, unfair competition, misappropriation of trade secrets, corporate dissolution, employment discrimination, wrongful termination, wage and hour, and disability access disputes, and regularly acts as local counsel in both state and federal court. Jamie also advises clients on employment and general business matters, negotiates executive compensation and severance arrangements, and acts as outside general counsel to several privately-held Bay Area businesses. Jamie's clients consist of privately-held and publicly traded businesses across a broad spectrum of fields (including technology, software, engineering, consulting, toy, restaurant, freight, food, manufacturing, dentistry and law) as well as receivers, public entities and individuals. She prides herself in getting to know her clients and their interests so she can help them achieve cost-effective results. Highly involved in the legal community, Ms. Dupree was selected to be a Lawyer Representative for the Northern District of California to the Ninth Circuit Judicial Council for the 2017-2020 term. She serves as a mediator for the United States District Court for Northern District of California, and is a member of the Northern District Early Neutral Evaluator Panel. Jamie is a member of the board for the Bay Area Lawyers for Individual Freedom, having served as Programs Chair, Co-Chair and Gala Co-Chair. She is the President of the Bay Area Lawyers for Individual Freedom Foundation. Martin H. Dodd

Martin Dodd's practice focuses on complex commercial and employment litigation, appeals and alternative dispute resolution. He has represented business clients in a variety of commercial disputes and has a special emphasis on disputes between co-owners of closely-held businesses. His employment practice emphasizes advice and counseling, as well as representation in the range of employment disputes. Martin also specializes in receivership law. Over the course of his more than 30-year career, he has both served as a federal receiver and has represented receivers in state and federal courts - including most recently the federal receiver for the California prison medical care system. Finally, Martin has an active practice as a mediator, arbitrator and neutral evaluator in a wide variety of commercial, employment and civil rights disputes. Martin is a member of The Board of Trustees of Palo Alto University. He is also active in his synagogue, Congregation Beth El in Berkeley. He is a past president of the congregation and a former member of the board of directors, and a member of several committees. He has also served on the boards of Jewish Family and Children Services in the East Bay and Tehiyah Day School.

Michael A. Futterman

Michael Futterman's practice focuses on business and employment law. He has a broad range of business and corporate experience, including business formation, mergers & acquisitions, finance and private equity offerings, corporate governance, equity compensation, intellectual property, securities and contracts. Employment experience includes counseling employers and executives in all areas of employment law. Michael represents a broad range of privately-held businesses, including technology (chip design, gaming, ISP and software), professional services (accounting, architecture and law firms), manufacturing, winery, insurance brokerage, nursing care, real estate finance, and non-profits. Michael has developed a particular expertise in the hospitality sector, including representation of 501c(6) business associations and business improvement districts, and he also represents a number of 501c(3) non-profit entities. Earlier in his career, Michael litigated business and employment disputes in state and federal courts, which has proven to be invaluable in serving his clients' legal needs. Michael serves as outside counsel for various non-profit organizations, such as Esalen Institute and the San Francisco Estuary Institute. Recent work for Esalen includes work on a tax-exempt financing for the purpose of refinancing existing debt and the funding of construction loans.
