Adam Matherly's practice focuses primarily on transactional business and finance matters. He represents companies, angel investors, and venture capital funds in connection with private securities offerings, including equity, debt, and convertible securities offerings, including equity, debt, and convertible securities offerings. Adam regularly serves as outside general counsel for emerging companies, assisting with initial business structuring and organization, equity incentive plans, corporate governance, commercial agreements, reorganizations, and mergers and acquisitions. Adam also counsels clients on trademark, copyright, patent, and other intellectual property matters, including licensing and technology transfer transactions.
Prior to joining Karr Tuttle Campbell, Adam managed his own law firm where he served as outside general counsel for high-technology companies. Concurrently, he managed the daily operations of a client aerospace tooling company as its Vice-President and COO.
Alysha Yagoda is a business, real estate, and corporate attorney. She often assists development companies, investors, and mortgage lenders in complex commercial real estate transactions, with particular emphasis on the acquisition, development, and disposition of multi-family projects as well as the financing and development of residential properties. In addition, Alysha has represented commercial lenders in vessel financing and other transactions involving maritime collateral.
Alysha previously clerked for the Honorable Ann Schindler of the Washington State Court of Appeals and served as an extern for the Honorable Andrea Darvas of the King County Superior Court.
Prior to law school, Alysha worked as Coordinator and Administrator for the Human Subjects Review Committee at the Seattle Institute of Biomedical and Clinical Research. There, she screened proposals to ensure design and performance of human subjects research protocols met federal, state, and institutional regulations and policies and advised committee members on applicable regulations, guidance protocols, and institutional precedent during review of research protocols.

Alyssa Krueger's practice focuses on business law and mergers and acquisitions. Prior to joining Karr Tuttle Campbell, Alyssa worked as in the Seattle City Attorney's Office, focusing primarily on employment topics such as ADA implications and First Amendment protections.
Alyssa also volunteered for the Unemployment Law Project, where she helped individuals appeal denials of unemployment benefits throughout the COVID-19 pandemic. Additionally, Alyssa worked with the Entrepreneurial Law Clinic during her time in law school, assisting as a legal intern and then transitioning into a member of the clinic during her final year of law school, where she helped small business owners in the Seattle area with a variety of business law issues.

Outside of the office Alyssa enjoys getting outdoors, travelling, reading, and teaching. Alyssa loves hiking and has summited Mount Kilimanjaro and hiked over 70 miles of the Pacific Coast Trail.

Barbara Brady focuses her practice on litigation with an emphasis on insurance coverage disputes and bad faith, particularly those involving defective construction. She has handled a broad range of cases, including personal injury, property damage and product liability.
Barbara is actively involved in the Washington State Bar Association. For a number of years, she served on the King County Bar Association's Judicial Evaluation Committee, which screens and evaluates candidates and nominees for judicial positions. Barbara is a long-time volunteer for the Seattle Emergency Housing Shelter Legal Services Program, which is designed to provide access to justice for low-income citizens. She served for five years as an officer in Lawyers Helping Hungry Children, a non-profit organization designed to raise funds to feed children of low-income families.
Bruce Leaverton is a shareholder at Karr Tuttle Campbell, and represents clients in a broad array of insolvency, banking, loan enforcement and other financial restructuring matters. Bruce represents clients in litigation and administrative matters concerning financial issues including loan enforcement, inter-creditor disputes and investigative and enforcement proceedings by government regulatory agencies. He also counsels institutional lenders in secured loan and workout matters.
Byron Stevens practices in the firm's Business & Finance Group with an emphasis in mergers and acquisitions. He is based in the firm's Portland, Oregon office.
Byron represents both buyers and sellers in a wide range of structured mergers and acquisitions. Similar to the rest of the firm's Business & Finance Group, Byron's practice is not limited to a specific industry, and it covers transactions of all shapes and sizes.
His work involves drafting and negotiating agreements, providing tax and compliance advice, conducting due diligence, and advising clients on all other aspects of the transaction process including related insurance and employment matters. Byron also maintains a close eye on risk-management issues to ensure assets are protected and opportunities for smart business growth prevail. He has extensive experience working with state and federal governmental agencies for various permits and approval procedures.
Outside of the context of mergers and acquisitions, Byron works with companies at every stage of the business life cycle. Byron also serves as general outside counsel to operating companies in a wide range of industries. Prior to law school, Byron taught 7th through 12th grade math and served as both a coach and athletic director as a member of Teach For America. While not an integral part of his practice, Byron remains invested in education policy and continues to contribute to Teach For America as an alum.

Celeste M. Monroe's expansive practice includes litigation at the trial court level and on appeal, in state and federal courts throughout the Northwest. Over the past several years, her practice has expanded to include a significant number of employer clients for whom she provides employment counseling and litigation services. She advises her clients on all aspects of the employment relationship, including hiring, discipline, and termination, as well as disability accommodation and wage and hour compliance. Celeste has significant experience conducting investigations for public and private employers on a variety of employment-related issues, including claims of harassment, discrimination and retaliation.
Her client base also includes numerous public school districts and private schools. In addition to counseling these clients on employment related issues, she advises schools on all aspects of their operations. This includes special education, student discipline, accommodation and critical contracts.
She earned her law degree from Willamette University College of Law, where she served as the Symposium Editor for the Willamette Law Review. During law school, she clerked in the Appellate Division of the Oregon Department of Justice. Prior to law school, Celeste was the Media and Marketing Manager for a large Northwest diesel-power distributor.
Celeste is an active member of the Oregon and Washington State Bars, and participates in the Ninth Circuit Pro Bono program. Charles Robinson's principal areas of practice include corporate and partnership taxation, mergers and acquisitions, business succession planning, individual tax and estate planning, and trusts and estates. Prior to joining KTC, Charles was general counsel for a wireless start-up company. He previously practiced law for thirteen years with another Seattle law firm, and practiced for six years in the tax departments of national and regional public accounting firms.
Charles has written and spoken on the tax issues involved in mergers and acquisitions, and contributed to the Fishing Industry chapter of the Washington State and Local Tax Deskbook. Chris Brown is an experienced mergers and acquisitions attorney with a focus on tax law. He counsels business clients on all aspects of major transactions, particularly related to tax structure, equity compensation and tax planning. He has helped clients in diverse fields, including technology, medical practices, agriculture, food processing, professional services, aerospace and alternative energy. Chris Brown's practice focuses on mergers and acquisitions. He frequently advises clients on the tax and economic terms of M&A deals, with an emphasis on tax planning and deal implementation.
On the buy side, Chris advises both institutional investors and fund managers on key aspects of buy-side deal work, including the tax structure, spin-offs, mergers, rolled equity, incentive compensation, and various partnership tax issues. On the sell-side, Chris frequently advises clients that are preparing for an exit transaction. Chris has a particular interest in alternative energy. He has assisted several solar technology companies with tax and corporate law matters and with sell-side transaction planning. He has also advised a major utility on Washington state tax issues involving wind and hydro projects. He is a presenter on tax and legal issues related to alternative energy, particularly on changes of law and policy under the 2022 Inflation Reduction Act and under Washington law.

Daniel Hagen's practice focuses on commercial litigation. He was an integral member of the litigation team that successfully represented a class of coffee farmers involving Lanham Act claims against over 20 defendants.
Prior to joining Karr Tuttle Campbell, Dan spent 6 years as a Legislative Assistant in the Washington State House of Representatives. He also worked in the Washington State Office of Public Defense, providing support to the Parents Representation Program.
While attending law school, Dan was the Chief Managing Editor of the Washington Journal of Law, Technology, & Arts. He also participated in the UW Tribal Defense Clinic representing indigenous clients in Tulalip Tribal Court.
Emily Harfouche's practice focuses on business, real estate, and corporate matters. She is a third generation Oregonian who spent most of her childhood summers working with livestock and learning farming practices firsthand in Central and Eastern Oregon.

Heather started her legal career in 1999, and after a brief hiatus, she rejoined the field and works as an intellectual property paralegal. She has assisted clients in all aspects of IP prosecution including trademark clearance, filing and maintenance (worldwide) including filing and prosecution of Madrid applications, patent application filings, prosecution and maintenance, including PCT applications, copyright applications and domain name filings. Heather has also assisted with Trademark Trial and Appeal Board filings to include oppositions and cancellations. She has prepared trademark statements of use, office action responses, and declarations of continued use and renewals, as well as patent preliminary amendments, IDS filings and continuation applications. She also maintains the docket for trademarks and patents and manages a portfolio of over one thousand trademark and patent matters.
Heather received a B.A. from the University of Washington. She received her paralegal certificate from Edmonds College. She is also a veteran of the U.S. Army where she served as an Electronic Warfare Signals Intelligence Analyst and Korean linguist.

Derek Little's practice focuses on litigation with particular emphasis on commercial litigation, land use litigation, labor and employment law matters, including class action defense, defense of local governments and public entities, and appellate law.
He represents clients in both state and federal courts.
Dino Vasquez is a commercial litigator, licensed in California, Washington and Alaska. He represents clients in all three states and actively practices in state, federal and administrative courts.
Dino handles local, national and international commercial disputes and transactions. He focuses on the rights and obligations of parties in commercial transactions and trade matters.
As part of his international practice, Dino has litigated before the Court of International Trade and international tribunals for arbitration and mediation. Prior to joining Karr Tuttle Campbell, Jason spent nearly a decade at a boutique Seattle law firm where he primarily litigated plaintiff injury, employment, and administrative matters. He also spent nearly five years as in-house counsel for a Fortune 500 company in Seattle, defending that company in numerous jury trials, mandatory and uninsured arbitrations, and mediations. Jason has also worked with the Department of Health on professional liability issues.
Johanna Coolbaugh's practice focuses on estate planning for a broad range of clients, from young professionals to high-net-worth individuals and families who need sophisticated estate and business succession planning. Johanna has significant experience in probate and post-mortem trust administration in taxable estates.
