Alan has over 25 years of experience serving early-stage, emerging growth and publicly traded clients. He frequently advises executive teams and boards on key strategic corporate and commercial transactions, corporate governance issues, and internal business and risk management process development.
Alan Roth has 30 years of corporate law experience representing a wide range of companies (closely and publicly-held, well-established, start-up, for-profit and non-profit) in many industries, including tech. His broad and deep experience enable him to consistently close commercial deals for his clients, both as buyers and sellers, on the best possible terms. Alan's practice has evolved from being primarily commercial to focusing on federal, state and local government contracts and those with leading educational institutions. He regularly reviews and explains state procurement laws and regulations, as well as the use of FAR and DFAR clauses in federal government contracts.
He lives in Newton with his wife and is enjoying the resumption of the empty nest post-Covid.
Alexander Franco has over 20 years of experience developing and managing patent portfolios in the high-tech industry. As a patent attorney with an MBA, he brings a business and finance-oriented perspective to the protection of his clients' intellectual property. Alex's practice includes patent preparation and prosecution, domestic and foreign patent portfolio management, and patent strategy for startup to mid-sized organizations. When Alex is not practicing patent law or working under the hood of his classic 1961 MGA roadster, you might find him skiing, wakeboarding, swimming or biking. Alex lives in Northern Virginia with his wife, two children, and a Yorkshire terrier.
Anita Drummond brings over 20 years of global legal experience on behalf of private and nonprofit organizations. With a focus on delivering collaborative and practical strategic counsel to her clients, Anita regularly handles a wide range of corporate and commercial matters, including board governance and support; regulatory compliance; risk management reviews; complex transactions; cross border transactions; commercial contracts; cybersecurity and privacy; employment-related matters; government relations and political coalition compliance; and grants with domestic and international governments and institutions. Anita also provides in-house counsel mentoring and assessments for collaborative client-attorney environments.
Anita, her husband and son spend time hiking and kayaking together. Anita is active in several conservation groups, and she performs at a local nonprofit improv theater.

Ben Bymaster is deeply passionate about entrepreneurship and business. As a Business Development Representative for Outside GC, Ben works closely with the firm's marketing and sales teams in support of new client acquisition efforts.
Before joining Outside GC, Ben worked in the healthcare tech industry.
Ben received a B.S. in Engineering Technology from the University of Tennessee, Chattanooga. He also holds licenses in real estate and life insurance and is currently pursuing several licenses to become a certified financial advisor.
Berry Flynn Cappucci brings over 19 years of experience as an attorney in the life sciences industry in both the U.S. and Europe. Berry regularly works with companies of all sizes, handling a wide range of legal matters, including licensing and collaboration transactions, mergers & acquisitions and initial public offerings; government regulation and compliance; clinical trials and data privacy; pharmaceutical development, complex commercial contracts; and corporate governance for sciences companies at all stages.
Berry is fluent in Spanish and worked in Central and South America prior to law school. She is an active parent in the Canton, Massachusetts public schools, and she enjoys traveling with her family in Latin America.

Billie is a highly effective General Counsel with deep global experience in the technology, entertainment and retail sectors. She is a proven negotiator, achieving success in numerous high-stakes commercial transactions. Billie currently focuses on technology, consumer products, and intellectual property matters, including SaaS, cloud-based transactions, tech development, licensing, and commercializing AI services and medical technologies on behalf of her OGC clients.
Billie's International Intellectual Property Law course is a sought-after elective at Vermont Law School, and she writes the Contracts Corner column for the Association of Corporate Counsel's DOCKET. She has served on the ski patrol at Okemo Mountain Resort for 10 years and is an accomplished triathlete. Billie is on the board of multiple organizations, including the Upper Valley Aquatic Center, and is a member of the Parents Committee at Phillips Exeter Academy. Billie speaks Italian and has lived and worked in Italy and the United Kingdom, giving her an appreciation of and sensitivity to international cultural and legal issues. She and her family now live in northern New England with their dog, Bode.

Bradford Auerbach brings extensive media and technology experience to his clients. Brad has had success in structuring many groundbreaking deals with a diverse range of rights holders, including NFL, NBA, NHL, HBO, MTV, Live Nation, Marvel Entertainment, International Olympic Committee, English Premier League, Screen Actors Guild, every significant Hollywood studio, each of the major record labels, ESPN, Sesame Workshop, The Smithsonian Institution, National Geographic and Getty Images, among numerous others. He has deep familiarity with each aspect of the media business, having sat on all sides of the deal-making table, on behalf of mobile, cable, satellite, hardware, software, distribution and production companies.
Brad is also an adjunct professor at University of California, San Diego for three senior seminar classes in the School of Global Policy and Strategy relating to media, technology and the law. He has also taught classes in Berklee College of Music's online Business Masters program and is a frequent speaker at numerous industry conferences across the globe. Brad serves on his town's Public Art Council. He has two daughters who have graduated from college, which leaves more time for him and his wife to travel, attend concerts and play golf.
Brandt Schmidt brings over 15 years of legal experience to Outside GC, including experience with a broad range of commercial transactions, corporate governance, securities, software, and retail matters, with a particular focus on software licensing agreements; professional services agreements; cloud services agreements; product purchase agreements; vendor supply agreements; strategic collaboration agreements; outsourced services agreements; consulting agreements; work orders/statements of work; confidentiality/nondisclosure agreements; and regulatory compliance issues. He also has extensive experience counseling public companies on Securities and Exchange Commission (SEC) reporting requirements, corporate governance, and equity administration.
Brandt resides in San Diego. When not working, Brandt enjoys spending time with his wife Meredith, two children, and three stepchildren, staying fit as a novice powerlifter, growing exotic fruit, surfing, and brewing beer.
Breen Sullivan is a C-Suite executive with experience in operations, commercial contracting, human resources and employment matters; organization, corporate and deal strategy; Board of Director communications and responsibilities; privacy and risk management; financial matters, and occasionally novel challenges. As a career GC, Breen has worked with startup and high growth companies for over a decade, specializing in technology, SaaS, energy efficiency, and data science.
She is also the Founder of The Fourth Floor, a Market Network on a mission to close the gender power, wealth, and funding gap by diversifying boardrooms and cap tables. Brian Fielding has over 30 years of experience as an attorney, business executive, and consultant in digital media, broadcasting, technology and software licensing. He regularly works with digital media companies, providing business-strategy focused guidance and general legal services with a particular focus on transactional work.
Brian grew up in Grosse Pointe Park, Michigan. After graduating from the University of Michigan, he lived and played music in Detroit before moving to New York City's TriBeCa neighborhood where he attended New York Law School and later worked as an entertainment attorney in private practice and at CBS Sports. After almost 20 years he moved his family to Montclair, NJ with his wife and two children. Brian joined Audible.com in 1997 a few months after its founding and was on the senior leadership team for 16 years. Brian is a jazz pianist and composer and released his first album of original music in November 2015, An Appropriate Response, Volume 1. Brian co-founded the leading online jazz education platform, OpenStudioJazz.com in 2015.
Bruce provides sophisticated legal counsel to companies at all stages of growth, from startup through publicly traded, leveraging 30 years of experience as General Counsel, Partner in big law and successful solo practitioner. Bruce's practice is focused on two principal practice areas: technology/IP, including SaaS, e-commerce, cloud-based transactions, technology development, transfer and licensing (inbound/outbound) and intellectual property prosecution and portfolio management; and corporate/commercial, including mergers and acquisitions, joint ventures, private offerings, supply chain/outsourcing, distribution, credit facilities, corporate governance, human resources and dispute resolution. Bruce possesses a unique ability to communicate complex ideas in understandable, engaging spoken and written language. He manages competing priorities in fast-moving environments to meet and exceed the strategic goals of clients. Bruce was born in Queens, NY, raised in a Boston suburb and has lived in California since attending law school. He lives near the beach and is a life-long musician who plays guitar, bass, banjo, ukulele and harmonica. Bruce is an avid cook (many styles and cuisines), frequent host of large dinner parties and enjoys gardening, trail running, weight training, cycling and constantly upgrading his office technology.
Cara is an experienced Internet, media and technology lawyer with over twenty-five years of in-house counsel experience. She focuses on online content, e-commerce, advertising and technology services, and has extensive experience in structuring and negotiating complex unique deals, inbound and outbound licensing arrangements, as well as a variety of template transactional and in-house guidance documents.
Originally a Massachusetts native, Cara spends as much time as possible on Cape Cod, when not living in Los Angeles, with her husband and daughter, and their two dogs. She also aspires to be a contributing member of her family's inhouse band, but is not quitting her day job.
With over 25 years of legal experience, Carol's clients value not only her deep legal experience, but also her practical, business-oriented approach to the practice of law. Caroline McCaffery has over 22 years of legal and business experience in both private practice and in-house legal roles. Caroline lives just north of New York city with her husband, two kids, an energetic dog and two guinea pigs. Caroline likes to surprise people with the fun fact that she nearly obtained her private pilot's license and has flown a plane by herself.

David is responsible for new client development on a firmwide basis. He is also a seasoned legal and business professional with over 30 years of experience serving as general counsel to privately-held companies. Most recently, David helped lead Outside GC's expansion into the

He has worked with public and private companies at various stages of development, across a range of industries, including hardware, software, biotechnology and pharma companies.
Deb is a seasoned attorney with twenty-five years of experience in the public, corporate, and nonprofit sectors. Leveraging her knowledge of consumer product, data privacy, and food and drug law, she is adept at balancing legal, policy, and operational considerations when counseling and drafting contracts for her clients. She routinely negotiates technology agreements, responds to government inquiries, and counsels clients on how to structure their operations and marketing programs to comply with federal and state law and regulations, including those administered by the FTC, FDA, CFPB, and CPSC.
Deb has testified before Congress and has educated and cultivated relationships with Fortune 100 C-Suite leaders and senior government executives to ensure compliance with governing laws and to shape policy relating to new technologies. She is active in local and national politics and has held elected office. She volunteers to help recent immigrants to the U.S., hosts international exchange students, and loves to travel. Though a long-time resident of Washington D.C., she can often be found at her family's home on the Delaware shore.

Debbie lives in Boxford, MA with her family, including a ridiculously adorable Wheaton Terrier, Lola. Whenever possible, they escape to Nantucket. She's an avid power yogi, loves to paddleboard, travel and laugh out loud. A lot.
Deborah Stehr brings almost 30 years of transactional and technology experience with a particular focus on the consumer goods and services industry. She has expertise in structuring both domestic and international arrangements for monetizing intellectual property, optimizing supply chains and brand licensing, and has more recently expanded her scope to include advising clients in the technology, Saas and growth stage arenas, including negotiating and drafting MSAs, DPAs, vendor contracts and content licenses, among others. Deborah leverages 's her depth of legal experience with a sharp business acumen to help companies of all sizes overcome risk barriers and support growth.
Deborah lives in Montclair with her husband and, occasionally with two college-aged children. When not working, she is an avid tennis player and skier and is passionate about protecting animals and wildlife.
Don is a senior corporate and commercial lawyer specializing in technology companies. Don has deep experience in start-ups, Internet/e-commerce, wireless, satellite, semiconductor, software/SaaS, mobile device, market research, and media. Don handles M&A, debt and equity financings, technology transactions and licensing, contracts, privacy and export controls/FCPA/OFAC/CFIUS, corporate governance, international and cross-border transactions, and negotiations.
Don was a partner with McCutchen Doyle (now Morgan Lewis) and Co-Chair of its Silicon Valley Technology Transactions Group. Before that he was with Weil Gotshal in its Silicon Valley, Washington, DC, and Budapest offices. Don also ran Corporate Development for Panasonic Avionics, managed IBM Microelectronics' Broadband Business Unit, worked for Panasonic at its headquarters in Osaka, Japan and was with multiple tech start-ups in legal, corporate development, finance, and business roles.
Duane Berlin is a seasoned business attorney with more than 40 years of experience handling corporate, commercial, transactional, finance and compliance matters. Duane regularly advises a wide range of clients, including companies of all sizes, entrepreneurs and individual and institutional investors, on issues relating to public and private corporate finance, business transactions, commercial contracts, compliance and business entity formation and governance.

Elizabeth is an experienced transactional attorney with a practice focusing on the life sciences. For over twenty years, she has represented a wide range of life sciences clients, including biotech start-ups, global pharmaceutical companies and academic institutions.
