Ms. DeCoudreaux is the President Emerita of the former Mills College, a liberal arts college for women with graduate programs for women and men, which is now known as Mills College at Northeastern University, having served a five-year term in that position from July 2011 through June 2016. Previously, Ms. DeCoudreaux served in a number of leadership roles at Eli Lilly and Company ("Eli Lilly"), a global pharmaceutical manufacturer, including as vice president and deputy general counsel, specialty legal team, from 2010-2011, vice president and general counsel, Lilly USA, from 2005-2009, and secretary and deputy general counsel of Eli Lilly from 1999-2005. During her 30-year career with Eli Lilly Ms. DeCoudreaux also previously served as an executive director of Lilly Research Laboratories, director of federal government relations, director of state government relations and director of community relations. In addition, Ms. DeCoudreaux has served on a number of charitable, educational and for profit and non-profit boards, including as both a trustee and board chair at Wellesley College. Ms. Finucane has been a Senior Advisor of the TPG Rise Climate Fund, an investment fund focused on various climate sub-sectors, since September 2022 and the Chair of Rubicon Carbon, a carbon credit firm, since November 2022. Previously Ms. Finucane served as Chairman of the Board of Bank of America Europe DAC from July 2018 through December 2022. She previously served as a Vice Chairman of Bank of America Corporation ("Bank of America"), an international financial services company, from July 2015 until her retirement in December 2021. From 2006 through July 2015, Ms. Finucane served as Global Chief Strategy and Marketing Officer for Bank of America and served as Northeast Market President from 2004 through July 2015. During her 20-plus years as a senior leader at Bank of America and its legacy firms, Ms. Finucane served as a senior advisor to four chief executive officers and the Board of Directors. As a member of the executive management team, Ms. Finucane was responsible for the strategic positioning of Bank of America and led the company's environmental, social and governance, sustainable finance, capital deployment and public policy efforts. She established and co-chaired Bank of America's Sustainable Finance Committee, which included a $1 trillion environmental business initiative, deploying capital to help accelerate the transition to a lower carbon, sustainable economy, and was chair of the company's ESG Committee. Ms. Finucane stewarded Bank of America's $300 billion environmental business initiative, oversaw the company's $1.6 billion Community Development Financial Institution portfolio and chaired the Bank of America Charitable Foundation. She currently also serves as a director of Williams Sonoma, Inc., a retailer of kitchen and home products.
Ms. Finucane's experience in the financial services industry, consumer policy, strategy, marketing, corporate social responsibility, and government affairs provides the Board with valuable insight in those key areas. Her distinguished career in banking also makes her an excellent Chair of our Investment and Finance Committee.

Brian Kane is executive vice president, CVS Health® and president of Aetna®. Brian Kane is Executive Vice President and President of Aetna, the Company's Health Care Benefits (HCB) business. He is responsible for delivering consumer-centric, holistic health care to the more than 36 million members served by HCB through the Medicare, Medicaid, commercial and ancillary businesses. He also is charged with simplifying the health experience using digital solutions, making health care more cost-effective and bringing to market CVS Health-connected capabilities that demonstrate the company's unique ability to serve the needs of customers, members and providers.
Prior to joining CVS Health, Brian acted as a strategic consultant to multiple leading private equity firms, providing strategic, operational, organizational and financial advice on a range of health care services companies. He previously served as Chief Financial Officer of Humana, a Fortune 50 Health insurance company with approximately $90 billion in annual revenue and over $60 billion in equity market capitalization. He was also a member of Humana's senior management team, where he played a critical role in the formulation and execution of the company's strategy.
Before joining Humana, Brian spent 17 years at Goldman, Sachs & Co. as a managing director in the Investment Banking Division. Throughout his banking career, he sourced and executed significant financings and mergers and acquisitions, as well as managed shareholder activists on behalf of clients in health care, consumer retail, financial services, real estate and hospitality industries.
Brian serves on the New York Historical Society's Board of Trustees, the Louisville Orchestra Board of Directors and Teach for America-Appalachia's Executive Advisory Board. He earned a bachelor's degree in economics and political science from Stanford University, as well as a master's in business administration from Harvard University.

Mr. Brown has been a partner of Nelson Mullins Riley & Scarborough LLP ("Nelson Mullins"), a national law firm, since the August 2018 merger of Nelson Mullins and the Florida law firm of Broad and Cassel, of which he served as Chairman from March 2000 through the time of the merger. He was also a member of the executive committee of Nelson Mullins until he rotated off of the committee in December 2021. Mr. Brown served as a director and Lead Director of Rayoner Advanced Materials, Inc., a specialty cellulose production company until his retirement from the board in May 2020. Mr. Brown previously served on the Board of Caremark Rx, Inc. from March 2001 until March 2007 closing of the merger of Caremark and CVS Health, when he became a director of CVS Health.
Mr. Brown's legal and health care expertise and experience are highly valued by the Board, as is his ability to analyze and interpret complex issues and facilitate Board engagement. Mr. Brown has significant health care experience, including through his oversight of UF Health while serving as Chairman of the Board of Trustees for the University of Florida and as a member of the Board of Directors and Executive Committee of Orlando Health, a not-for-profit health care network. Carol DeNale currently serves as Senior Vice President and Treasurer of CVS Health. She joined the Company in 1997. Ms DeNale directs and oversees the Company's capital structure; Treasury Services, Insurance Capital, Corporate Development, Enterprise Risk Management, Risk Management, EH&S (environment, health and safety) and Enterprise Resiliency and Response departments, along with capital expenditure, balance sheet and free cash flow forecasting and leasing. Previously, she led the capital structure and financing discussions for the $69 billion acquisition of Aetna in cash and stock. DeNale structured and negotiated a $49 billion bridge facility and a $5 billion term loan, and successfully led the acquisition financing of a $40 billion unsecured bond offering, the third largest single-day offering in the history of the U.S. market. Ms DeNale has spoken at the SEC Roundtable on Money Market Funds and Systemic Risk and the U.S. Chamber of Commerce Capital Markets Summit, as well as numerous High-Grade Health Care, Consumer and Retail Fixed Income conferences. Colleen McIntosh is SVP, Chief Governance Officer and Corporate Secretary for CVS Health. Previously, Ms. McIntosh was a business partner at Morrison & Foerster LLP, a large global law firm, where she worked primarily in the areas of employee benefits, executive compensation and business transactions.

Mr. Ludwig is the former Chairman of the Board of Directors of Becton, Dickinson and Company ("BD"), a global medical technology company, having served in that position from February 2002 through June 2012. He also served as Chief Executive Officer of BD from January 2000 to September 2011, President of BD from May 1999 to December 2008 and Chief Financial Officer of BD from January 1995 to May 1999. Mr. Ludwig joined BD as a Senior Financial Analyst in 1979. Prior to joining BD, Mr. Ludwig was a senior auditor with Coopers and Lybrand (now PricewaterhouseCoopers) where he earned his CPA. Mr. Ludwig also served as a director of Xylem, Inc., a water technology company, from 2011 to 2017, and Chairman of Advanced Medical Technology Association, or AdvaMed, a medical device trade association, from 2006 to 2008. Mr. Ludwig was lead director of the Aetna board of directors from 2012 until the closing of the Aetna Transaction, when he became a director of CVS Health. He currently serves as the lead independent director of Boston Scientific Corporation, a manufacturer of medical devices.
Mr. Ludwig's more than 30 years of experience in the field of medical technology give him a unique perspective on the Company's strategy. As the former Chairman and CEO of BD, Mr. Ludwig brings a thorough appreciation of the strategic and operational issues facing a large public company in the health care industry. Mr. Aguirre is the former Chairman, President and Chief Executive Officer of Chiquita Brands International, Inc. ("Chiquita"), a global distributor of consumer products, having served as Chiquita's President and Chief Executive Officer from January 2004 to October 2012 and its Chairman from May 2004 to October 2012. Prior to joining Chiquita, Mr. Aguirre worked for more than 23 years in brand management, general management and turnarounds at The Procter & Gamble Company ("P&G"), a manufacturer and distributor of consumer products. Mr. Aguirre began his P&G career in 1980, serving in various capacities including President and General Manager of P&G Brazil, President of P&G Mexico, Vice President of P&G's global snacks and U.S. food products, and President of global feminine care. Mr. Aguirre was a member of the board of directors of Aetna from 2011 until the closing of the Aetna Transaction, when he became a director of CVS Health. He served as a director of Coveris (packaging) from 2014 to 2015, Levi Strauss (manufacturer of clothing) from 2010 to 2014, and Coca-Cola Enterprises Inc., a manufacturer and distributor of consumer products, from 2005 to 2010. Mr. Aguirre also serves as a director of Barry Callebaut AG, a manufacturer of high-quality chocolate and cocoa products, and Synchrony Financial, a consumer financial services company.
Mr. Aguirre brings to the Board extensive consumer products, global business and executive leadership experience. As a former Chairman and CEO of a large public company that produces and distributes consumer products worldwide, he has significant brand management and international experience that is valuable to the Board's strategic and operational understanding of global markets. David Joyner is Executive Vice President and President of CVS Caremark. He leads the Pharmacy Services business, which provides solutions to employers, health plans and government businesses and serves more than 110 million members through CVS Caremark, CVS Specialty and other areas.
David brings more than 37 years of health care and pharmacy benefit management experience to the company. Most recently, David served on the boards of several private equity-backed health care companies. He also served as an advisor to the founder and chief executive officer of gWell, a precision health and medicine company focused on providing value-based condition management to payors and employers. David began his career at Aetna as an employee benefit representative before joining Caremark Prescription Services as a regional sales manager. He then served as executive vice president of sales and account services at CVS Caremark and executive vice president of sales and marketing at CVS Health.

Mr. Kirby has been the Chief Executive Officer and a member of the Board of Directors of United Airlines Holdings, Inc. ("United Airlines"; NYSE: UAL), an international air carrier, since May 2020. Mr. Kirby serves on the Executive Committee and the Finance Committee of the United Airlines Board of Directors. From August 2016 until May 2020, Mr. Kirby was President of United Airlines and was responsible for its operations, marketing, sales, alliances, network planning and revenue management. Mr. Kirby is a well-known airline industry veteran, with a broad and accomplished three-decade-long career in significant leadership roles. Prior to joining United Airlines Mr. Kirby was President of American Airlines from December 2013 until August 2016, and he was President of US Airways from September 2006 until December 2013, when US Airways merged with American Airlines. He started his career at the Pentagon and in the technology sector. Mr. Kirby has a bachelor's degree in computer science and operations research from the U.S. Air Force Academy and a master's degree in operations research from George Washington University.

Mr. Millon joined PCS in 1995, where he served as President and Chief Executive Officer from June 1996 until his retirement in September 2000. Prior to that, Mr. Millon served as an executive and held several global leadership positions with Eli Lilly and Company. Mr. Millon previously served on the board of Caremark from March 2004, upon Caremark's acquisition of AdvancePCS, and as a director of AdvancePCS (which resulted from the merger of PCS and Advance Paradigm, Inc.) beginning in October 2000. He became a director of CVS Health upon the closing of the merger transaction involving CVS Health and Caremark. Mr. Millon has over 10 years of financial management experience and fifteen years of general functional management experience, including strategic planning experience specific to pharmacy benefit management companies as the former head of PCS. He also has extensive venture capital and public and private company board experience.

He has also served as Dean of the Vanderbilt University School of Medicine since 2008. Dr. Balser is a member of the National Academy of Medicine and serves on its governing council. He also currently serves on the boards of VUMC, Tulane University and the Nashville Health Care Council. He previously served on the board of Varian Medical Systems, Inc. (NYSE: VAR; "Varian"), an oncology treatment device and software maker, from October 2018 until Varian was acquired by Siemens Healthineers AG in April 2021.
Dr. Balser's business experience includes large regional quaternary health delivery system leadership, human capital management, senior business management experience including a number of community hospital and medical practice acquisitions, overall risk management expertise through oversight of VUMC's quality, compliance and corporate integrity activities, and financial expertise through management of its P&L and balance sheet and its separation from Vanderbilt University. His experience as a physician scientist includes leading NIH-funded research in various areas of pharmacogenomics and spearheading growth in personalized medicine at VUMC from research concepts to bedside care, integrating advances in informatics, discovery science, and precision genomics. He received a B.S. degree in Biomedical Engineering from Tulane University and an M.D. and Ph.D. in Pharmacology from Vanderbilt. Dr. Balser's extensive experience in a wide range of roles across health care organizations is an invaluable asset for the Board and its Medical Affairs Committee. Karen has over three decades of experience in the health care industry. Katerina Guerraz is Executive Vice President, Chief Strategy and Enterprise Affairs Officer for CVS Health. She is responsible for enterprise strategy, corporate communications and serves as the Chief Strategic Advisor to the President and CEO. Katerina leads the enterprise business management and planning processes that are necessary for CVS Health achieving its business goals.
Most recently, Katerina was the Chief Operating Officer for the Aetna Group Medicare business, which provides retiree health solutions for employers and more than one million members. She led the overall operations for this $14 billion business which included client retention and growth for over 500 employers, strategic marketing and communications, strategic planning and sales operations.
Prior to her Medicare role, Katerina was the vice president of enterprise strategy and integration services and planning, and led strategic initiatives that spanned Aetna divisions. She also led the Enterprise Distribution COE for the company's institutional businesses, which provides health solutions for employers and serves over 15 million members.
Since joining the company in 2000, Katerina has held various leadership positions spanning sales operations, strategy, marketing, planning and communications. Before joining Aetna, Katerina led strategic and clinical research initiatives for the pharmaceutical industry and various government organizations such as the National Institutes of Health and the National Institute of Drug Abuse. Larry McGrath joined CVS Health in July 2022 as Senior Vice President, Investor Relations & Business Development. In this role Larry oversees the company's communications with the investment community as well as its corporate development and M&A functions.
Larry brings extensive experience in health care and financial services to CVS Health, having most recently served as a Global Healthcare Fund Portfolio Manager at J.P. Morgan Asset Management in New York City. In this role he spent several years as a core investing analyst in the global health care space, managing a $7 billion product for J.P. Morgan clients. Prior to J.P. Morgan, Larry spent time as a health care analyst for Pioneer Investments in Boston, and also at Setanta Asset Management in Dublin, Ireland. His more than 20 years of experience in financial services has resulted in deep knowledge of the industry and many connections in the analyst community. Larry will be an integral part of communicating CVS Health's growth strategy to investors.

Laurie brings over 20 years of experience to CVS Health, most recently serving as Executive Vice President and Chief People Officer of Otis Worldwide Co., the world's leading company for elevator and escalator maintenance, installation, and service.
Before joining Otis, Laurie served as Corporate Vice President of Talent and Human Resources at United Technologies Corporation (UTC) where together with her team, she transformed and modernized the company's talent agenda and priorities. She championed technology and new ways of thinking to create industry-leading practices in engagement, recruitment and performance. From 2013 to 2017, Laurie served as Vice President of Human Resources Institution Businesses, overseeing Aetna's largest business segment with 60 billion in revenue. Prior to that, she held the title of Vice President of Talent Management and Human Resources for Aetna International.
Laurie earned a BS in Business from the University of Connecticut and a JD from the University of Connecticut School of Law. Since October 2018, Ms. Schapiro has been Vice Chair for Public Policy and Special Advisor to the Chairman and Founder of Bloomberg, L.P. From January 2014 to present, Ms. Schapiro has also served as the Vice Chair of Promontory Advisory Board, part of Promontory Financial Group, a leading strategy, risk management and regulatory compliance firm. She previously served as managing director of Promontory Financial Group from March 2013 through January 2014. From January 2009 through December 2012, Ms. Schapiro was Chairman of the U.S. Securities and Exchange Commission (SEC), becoming the first woman to serve as that agency's Chairman. Prior to becoming SEC Chairman, Ms. Schapiro was Chairman and CEO of the Financial Industry Regulatory Authority (FINRA) from 2006 through 2008, and prior to that held a number of key executive positions at FINRA and its predecessor from 1996 through 2006. She also served as Chairman of the Commodity Futures Trading Commission (CFTC) from 1994 to 1996, and was the first person to serve as Chairman of both the CFTC and the SEC. Ms. Schapiro is also a director of Morgan Stanley, a financial services company, and was formerly a director of General Electric Company and of The London Stock Exchange Group plc until her retirement from those boards in 2018.
Ms. Schapiro's experience in leading the SEC, FINRA and the CFTC makes her extremely well qualified to join our Board. During his 40-plus year career in retailing, Mr. Farah also held director and/or executive positions with Venator Group, Inc. (now Foot Locker, Inc.), R.H.
