Rebecca Field Emerson

Rebecca has an extensive background in business law and experience as an entrepreneur and business manager. Rebecca consults on small business challenges and opportunities, and has assisted start-ups with a complete package of ownership and operating agreements. She regularly drafts independent contractor, supplier, and security agreements, including non-disclosure and non-solicitation agreements. She has represented companies in the restructuring of their debt with noteholders, counseled closely held companies in raising capital through the sale of membership interests, drafted corporate ownership documents, and made appropriate SEC filings. She has represented businesses in the conversion of entity types and domestication of entities, and evaluated merger & acquisition transactions. Rebecca has served on several nonprofit boards and has advised on nonprofit formation, as well as the state and federal filing requirements for such organizations. She uses her skills to assist clients in identifying and minimizing risks, maximizing opportunities, and accomplishing practical legal solutions to their business problems. In the context of real estate, Rebecca has represented retailers, restaurants, and other businesses and landlords in commercial lease negotiations. She oversees all Philadelphia leasing issues for a significant property management company, including advising on matters as unique as emotional support animal issues, COVID-19 challenges, and PA Consumer Complaint responses to common matters, such as evictions. Rebecca has also represented a closely held company with the purchase of a commercial condominium in enterprise zone, including review of condominium conversion documents, including Pennsylvania Industrial Development Authority (PIDA) loan documents. Rebecca also helps her clients maintain their brand images. She assists with trademark filings and domain name purchases and disputes, and has represented authors in publishing contract negotiations and related copyright assignments. Additionally, Rebecca has litigated matters in state and federal court regarding breach of contract, fiduciary duties, shareholder disputes, fraudulent transfers, alter ego, and other claims, where she strategically leveraged settlements for clients to efficiently optimize outcomes. Rebecca has also successfully initiated large judgment execution efforts for businesses and individuals. Rebecca's first-hand business experience gives her a distinct viewpoint that you won't find with most business attorneys. Her holistic approach, providing legal guidance within the context of strategic advice, has helped her clients achieve their goals, conserve resources, and increase profitability.
