PRIME PROPERTIES

Prime Properties S.C.A., SICAV-SIF (the "Fund") is a limited partnership with share capital, in accordance with Luxembourg law, as a variable capital investment company (SICAV) - specialized investment fund. The Fund is subject to the Law of 13 February 2007 relating to Specialized Investment Funds ("FIS"), as subsequently amended ("2007 Law") and qualifies as an Alternative Investment Fund as set out in the Law of 12 July 2013 on alternative investment fund managers ("2013 Law") transposed into Luxembourg Law by Directive 2011/61/EU of the European Parliament and of the Council on investment fund managers ("AIFMD").
