Carlton Greene

Carlton Greene is a partner in Crowell & Moring's Washington, D.C. office and a member of the firm's International Trade and White Collar & Regulatory Enforcement groups. He provides strategic advice to clients on U.S. economic sanctions, Bank Secrecy Act and anti-money laundering (AML) laws and regulations, export controls, and anti-corruption/anti-bribery laws and regulations. Carlton is the former chief counsel at FinCEN (the Financial Crimes Enforcement Network), the U.S. AML regulator responsible for administering the Bank Secrecy Act. Before joining FinCEN, Carlton previously served as the assistant director for transnational threats with the U.S. Department of the Treasury, Office of Foreign Assets Control (OFAC), where he directed targeting and investigations for more than 15 U.S. economic sanction programs, including those related to Iran and North Korea. Carlton also served as legal counsel to OFAC on counterterrorism sanctions. Previously, he was appointed by the United Nations Secretary-General to advise the UN Security Council on international sanctions against Al-Qaida and the Taliban and to lead member state visits to assess compliance. Carlton also previously served as a trial attorney at the U.S. Department of Justice, where his practice included representing OFAC on sanctions issues.

Carmen Barboza is an innovative leader who has spent over a decade dedicated to law firm Human Resources. In the role of CHRO, Carmen leads the firmwide Human Resources function including staff talent management and development, as well as firmwide benefits, well-being programming, employee relations and retention, and policy development and implementation. She also oversees our DC Office Support Services department, aligning administrative needs with our business professionals across practice groups and administrative departments. David R. Stepp

A leading international trade lawyer with more than 30 years of experience, David Stepp provides multinational companies with strategic advice on global customs and international trade compliance matters. A trusted advisor, David helps clients navigate the legal and business challenges of operating in an increasingly contentious global business environment. He advises companies with complex global supply chains in a wide variety of industries, including electronics, automotive, aerospace, e-commerce, apparel, home improvement, agriculture, seafood, defense, medical supplies, among others. As a member of Crowell's International Trade Group and Environmental, Social, and Governance (ESG) team, David advises companies on compliance with forced labor and human rights requirements. He has deep experience assisting companies in mapping their supply chains, including linking imported products back to their raw materials using enterprise resource planning (ERP) software and other inventory management audit tools. David is highly experienced in forced labor supply chain mapping and risk assessments, and verifying due diligence efforts with on-the-ground visits to client facilities incorporating third party intelligence and audit resources. He is a thought leader and frequent speaker in the U.S. and Europe on the enforcement of national laws prohibiting forced labor and modern slavery and the development of strategies to achieve and maintain compliance. Additionally, David regularly advises clients on international trade regulatory matters, including those related to tariff classification, valuation, country of origin marking, free trade agreements, the Customs-Trade Partnership Against Terrorism (CTPAT) Program, and other compliance issues regulating the global trade in goods. He has extensive experience in conducting global customs and international trade audits, assisting clients on improving, benchmarking, and coordinating compliance programs across borders. David spent three years in Singapore managing an international law firm's office there where he advised on Asia trade issues and developed supply chain strategies for companies to leverage their Asian manufacturing and distribution networks to minimize duties and non-tariff barriers. David is very active and highly respected in the international trade community. He is a co-founder and former president of the Global Legal Customs Association (GLCA), an organization of leading customs practitioners from over 20 jurisdictions in the Americas, Europe, Asia, and the Middle East. David also is board member of the Northern California World Trade Center, and a member of the Foreign Trade Association of Southern California, American Association of Exporters and Importers, and the Pacific Council on International Policy. For 10 years, David was the instructor for the Los Angeles Customs Brokers and Freight Forwarders class for students taking U.S. Customs & Broker Protection's customs broker licensing examination.

Financial institutions looking for bespoke solutions to complex investment scenarios trust Jennifer Grady to structure investments in a way that mitigates risk while maximizing return. She represents investment funds, investment banks and other financial institutions in complex derivatives transactions, as well as deals involving the purchase of distressed debt, bankruptcy claims and other alternative investments. Jennifer studies a client's investment thesis and acts as a strategic advisor in decisions about their deployment of capital. Her knowledge of investment structures and their underlying assets informs her ability to effectively anticipate issues and negotiate deals, guarding against risks related to trade execution and settlement, counterparty credit, documentation and asset valuation. Her derivatives practice focuses on the structuring and negotiation of credit derivative transactions, including loan, bond and bankruptcy claim total return swaps, loan credit default swaps, and traditional credit default swaps in North America, Europe, and Asia. In addition, she advises clients regarding other derivative products, including equity swaps and interest rate swaps, as well as the evolving regulatory treatment of derivative transactions. Jennifer also represents her financial institution clients in connection with the negotiation of ISDA master agreements, prime brokerage agreements, and related collateral support documentation. She played a critical role in creating the documentation, standards, and customs adopted by the marketplace for transacting in credit default swaps referencing loans. Jennifer has deep experience in the secondary market for U.S. and non-U.S. loans, bankruptcy claims, and other distressed assets, and has represented multiple CLO managers in designing efficient loan review and settlement procedures. She has substantial experience in transactions involving par and distressed bank debt in the U.S. and European secondary loan markets. She also advises on financing facilities secured by complex illiquid assets, including solar renewable energy credits, marketplace loans, and derivative instruments.
