Alexander M. Cutler

Alexander M. Cutler retired as chairman and chief executive officer of Eaton, a global $20.9 billion diversified industrial manufacturer, in May 2016. Mr. Cutler assumed the position in August 2000, after serving as Eaton's president and chief operating officer since 1995. He began his career with Cutler-Hammer in 1975 as a financial analyst, and became Business Group Controller in 1977. After Eaton acquired Cutler-Hammer, he was made a division controller in 1979, and in 1980, was appointed Plant Manager of the Atlanta Assembly Plant. In 1982, Mr. Cutler became Division Manager of the Power Distribution Division, and in April 1985, was appointed General Manager of the Industrial Control and Power Distribution Operations in the United States. In 1986, he was elected President of the Industrial Group, and in 1989, was promoted to President of Eaton's Controls Group. He was elected Executive Vice President - Operations in 1991 and Executive Vice President and Chief Operating Officer - Controls in 1993 before assuming the position of Easton's President and Chief Operating Officer in 1995. Mr. Cutler is a board member of E. I. Du Pont de Nemours and Company, United Way of Greater Cleveland, and the Musical Arts Association. Cutler is also a member of the Yale Development Board and the Yale Alumni Association of Cleveland. Previously, he served as the first chairman of the Greater Cleveland Partnership, one of the nation's largest metropolitan chambers of commerce. In addition to serving on the Executive Committee, he also chaired the Corporate Governance Committee of the Business Roundtable and was a member of The Business Council. He served as president of the Yale Alumni Association of Cleveland, and was a member of the board of the Yale University Alumni Fund, the Amos Tuck School of Business Administration at Dartmouth College, Loomis Chaffee School, and the Electrical Manufacturers Club. Mr. Cutler also served on the Northeast Ohio Council on Higher Education (formerly the Cleveland Commission on Higher Education), the Cleveland Play House, the Greater Cleveland Growth Association, the Museum of Natural History, and he chaired the Visiting Committee of the Weatherhead School of Management at Case Western Reserve University. He is a past chairman of the National Electrical Manufacturers Association and Greater Cleveland's United Way Services. He is also the co-founder and past co-chairman of the Commission on Economic Inclusion. Mr. Cutler was born in Milwaukee, Wisconsin, and graduated from the Loomis Chaffee School in Windsor, Connecticut. He received his bachelor of arts from Yale University and a master of business administration from the Amos Tuck School of Business Administration at Dartmouth College.

Amy G. Brady is Key's Chief Information Officer, leading the company's Technology, Operations and Services organization. In her role, she oversees all of Key's shared services for technology, operations, data, servicing, cyber and physical security, and procurement. Amy also oversees Key's retail, corporate and operational facilities including portfolio strategy, transactions and facility management. Technology, Operations and Services is comprised of more than 5,000 individuals and plays a significant role in Key's ability to win in the marketplace by enabling the company's goal to build enduring client relationships through innovative solutions and an end-to-end digital experience. Technology, Operations and Services delivers innovative technology to clients, such as mobile and online banking, voice and chat automation features, and world-class operations and servicing solutions, including loan, payment, fraud and treasury services with Contact Centers supporting our clients across consumer and commercial segments. Amy also serves on the company's Executive Council, Executive Leadership Team and Diversity, Equity and Inclusion Council. Prior to joining Key in 2012, Amy served as Chief Information Officer, Enterprise Technology and Operations, at Bank of America. In this role, she was responsible for technology and operations delivery for critical enterprise functions including Finance, Risk, Human Resources, Marketing, Legal and Audit. She began her career with Bank of America in 1987 as a banking center manager and held various leadership roles in Consumer-Commercial before moving into Global Technology & Operations and being named CIO. Amy was appointed by Lt. Governor Jon Husted to serve on the InnovateOhio Advisory Board and is an Executive Committee member of the Bank Policy Institute's Technology Division (BITS). In addition, she is a member of the Board of Directors of DuPont, where she serves on the Audit and Environment, Health, Safety and Sustainability Committees. Amy is active in the community serving as Chairman of the Board of Playhouse Square, the largest performing arts center in the U.S. outside of New York City. She also serves on the Board of Directors of the Cleveland Leadership Center, is the Founding Chair of NEOhioCIO and co-chairs the Case Western Reserve University Corporate Visiting Committee. In the years 2016 through 2022, Amy was recognized by American Banker as one of the "Top 25 Most Powerful Women in Banking," and listed among the "Powerful Women to Watch" from 2013 through 2015. She was recognized by Crain's Cleveland as CIO of the Year in 2014. She was also a finalist for the Georgia CIO of the Year Award in 2013 and received the 2013 Ohio Glass Ceiling Award from the Ohio Diversity Council. In 2012, Amy was recognized by the YWCA of Atlanta as a Woman of Achievement and was a winner of WIT's "Women of the Year in Technology" in 2009. Amy holds a Bachelor of Arts degree in Psychology and Music from Rollins College in Winter Park, Fla.

H. James Dallas has served as an independent consultant focusing on information technology, risk and change management strategy through James Dallas & Associates since September 2013. Prior to founding his own consulting firm, Mr. Dallas served as senior vice president of quality and operations at Medtronic, Inc., a global medical technology company. Dallas, who joined Medtronic in 2006, previously served as the company's senior vice president and chief information officer. Victor Alexander is Head of Consumer Banking at KeyBank, where he is responsible for Key's Retail Banking, Consumer Lending, Deposits and Payments, Business Banking, Wealth Management, and Home Lending lines of business nationally. The Consumer Banking team serves more than 3 million clients with branch offices in 15 states and a national multi-channel distribution. Victor has been with Key throughout his entire career, most recently as Head of Home Lending. Previously, Victor served as Key's Corporate Treasurer and also led Key's Corporate Strategy team, which oversees Key's corporate strategy, mergers and acquisitions, and strategic investment activity. Victor received a B.S. from John Carroll University and an MBA from Harvard Business School. He currently serves on the Board of Directors at John Carroll University and the Boys & Girls Clubs of Northeast Ohio.
