Management shares represent the only class of shares with the right to notice of and to vote at meetings of Shareholders but not to participate in the profits and losses of the Mutual Fund and are not entitled to dividends. Investor shares do participate in the profits and losses of the Mutual Fund and are entitled to dividends if and when declared by the Directors, but are not entitled to a notice of or to vote at meetings of Shareholders. Only investor shares are offered hereunder.
