Andrew J. Wise, 57, is Senior Executive Vice President, Chief Risk Officer of Arrow Financial Corporation and its two subsidiary banks, Glens Falls National Bank and Trust Company and Saratoga National Bank and Trust Company. Mr. Wise joined Arrow in 2016 as Senior Vice President of Administration for Glens Falls National Bank. He has more than 30 years of experience building and leading both community banks and bank-owned insurance agencies. Mr. Wise previously served as Vice President and Chief Information Security Officer for The Adirondack Trust Company and acted as Executive Vice President and COO for Wise Insurance Brokers, Inc. He has extensive experience in designing, implementing and managing workflows and delivering operational efficiency. He holds a bachelor's degree from Boston University's School of Management.

Brooke M. Pancoe, 38, is Executive Vice President, Chief Human Resources Officer of Arrow Financial Corporation and its two subsidiary banks, Glens Falls National Bank and Trust Company and Saratoga National Bank and Trust Company. Ms. Pancoe joined Arrow in 2018 as Director of Human Resources. As Chief Human Resources Officer, Ms. Pancoe has executive oversight of Arrow's human resource strategies, which include organizational design and succession planning, talent acquisition and retention, performance management, professional development and compensation and benefits. Before joining Arrow, Ms. Pancoe held various human resource management roles within the power generation and engineering services industry. Ms. Pancoe holds a bachelor's degree in psychology from Clark University in Worcester, Mass., and an MBA from the University at Albany. In addition, she maintains a certified professional human resources designation.

David D. Kaiser - SEVP

David D. Kaiser, 63, is Senior Executive Vice President, Chief Credit Officer of Arrow Financial Corporation and its two subsidiary banks, Glens Falls National Bank and Trust Company and Saratoga National Bank and Trust Company. Mr. Kaiser joined Arrow in 2001 as Vice President and Commercial Loan Officer. He served as Corporate Banking Manager and was later promoted to Senior Vice President, before being named Chief Credit Officer in 2011. He has since been promoted to Executive Vice President and Senior Executive Vice President. Before joining Arrow, he spent 15 years in the Capital Region as a Commercial Loan Officer. Mr. Kaiser earned a bachelor's degree in business administration from Siena College. He actively serves on the boards of numerous community organizations.

David G. Kruczlnicki

David G. Kruczlnicki, age 70, has been a Director of the Company since 1989; he has been a Director of Saratoga National Bank since 2015 and a Director of Glens Falls National Bank since April 2022. He previously served 26 years as a Director of Glens Falls National Bank. Mr. Kruczlnicki is President of a consulting firm that advises nonprofits on business planning and teaches at Siena College and Clarkson University Graduate School, and UNC/Chappel Hill. He was President and CEO of Glens Falls Hospital, a large regional medical center, from 1989 until his retirement in 2013. Mr. Kruczlnicki received a bachelor's degree from Siena College and a master's degree from Rensselaer Polytechnic Institute. He also served on the board of directors of several affiliates of Glens Falls Hospital, numerous other health-related organizations, and Pruyn & Company, a local, privately-owned paper company. As a former health care executive, Mr. Kruczlnicki has significant experience overseeing finance and human resources as well as directorship experience from his service as a director of numerous private and regional organizations.

DeMarco, 62, is President and Chief Executive Officer of Arrow Financial Corporation and its two subsidiary banks Glens Falls National Bank and Trust Company and Saratoga National Bank and Trust Company. He has been a Director of the Company since 2023. Mr. DeMarco also served as a Director of Glens Falls National Bank and Saratoga National Bank since 2022 and 2012, respectively. Mr. DeMarco joined the company in 1987 as a commercial lender and has since served in positions of increasing responsibility within the organization. In 2012, he was named President and CEO of Saratoga National Bank. He earned a bachelor's degree in finance from the University of Texas at Austin. He is a graduate of the Adirondack Regional Chamber of Commerce's Leadership Program and the Stonier Graduate School of Banking. Active in the community, he sits on the boards of various non-profits dedicated to healthcare and economic development.

Dr. Colin L. Read

Colin L. Read, PhD, age 64, has been a Director of the Company since 2013; he has also served as a Director of Glens Falls National Bank and Saratoga National Bank since 2010 and April 2022, respectively. Dr. Read is a professor of economics and finance in the State University of New York system. He served as Mayor of the City of Plattsburgh, New York for four years, after three years of service on the Clinton County Legislature. He is President of ESG Analytics Group, has taught money and finance since 1987, and teaches sustainability. He is a published author, with various contributions to print, online and television media, as well as 12 books on global finance. Dr. Read has a PhD in economics from Queen's University, an MBA from the University of Alaska, a law degree from the University of Connecticut, and a master's degree in Taxation from the University of Tulsa. His expertise in economics and understanding of the Plattsburgh, New York area are key strengths.

Elizabeth A. Miller

Ms. Miller has a strong understanding of the community and its business base, particularly local manufacturing.

Mr. Champion brings more than 30 years of legal experience, including advising both privately-held and publicly-traded companies on corporate governance matters and serving as corporate secretary of both privately-held and publicly-traded companies. Mr. Champion has a B.A. from St. Lawrence University and a J.D. (summa cum laude) from Syracuse University College of Law. Mr. Champion serves as Executive Vice President, Legal, for Syncromune, Inc., a startup company seeking to develop intratumoral immunotherapy treatment for metastatic cancer patients.

Marc J. Mr. Yrsha oversees the strategic direction of the Retail Banking unit, which includes retail deposits and lending, business development, consumer payments, business services, municipal banking, as well as small business and retail lending. Mr. Behan is a director or trustee of several nonprofit organizations. Mr. Behan is a graduate of Colgate University. Mr. Behan is also a former newspaper executive with extensive knowledge of the economic, political and community issues of the Capital Region and the Adirondacks.

Penko K. Mr. Ivanov joined Arrow in 2023 with more than 30 years of experience in Financial Planning and Analysis, Controllership, Financial Reporting, Treasury and Compliance with Sarbanes-Oxley Act of 2002. Mr. Ivanov previously served as CFO for Bankwell Financial Group, helping it almost double in size over six-plus years to $3.3 billion in total consolidated assets. He has held CFO positions at Darien Rowayton Bank and for Doral Bank's U.S. Operations. He began his career with Ernst & Young and held accounting/ finance positions at PepsiCo, GE Capital and Bridgewater Associates. Mr. Ivanov holds an MBA and bachelor's degree in accounting and finance from the University of South Florida. He is also Six Sigma Black Belt certified.

Raymond F. O'Conor

Raymond F. He was a Senior Vice President of the Company from 2009 until his retirement in 2012 and also served as President and CEO of Saratoga National Bank from 1995 until his retirement at the end of 2012. Mr. O'Conor is also a published author and CEO of Saratoga County Capital Resource Corporation, a community development agency. He has an extensive knowledge of community banking, and more specifically, the Company, as a former member of the executive management team.

Mr. Owens was elected Chairman of the Board in May 2023. Mr. Owens is a former U.S. Congressman who represented New York's 21st District from 2009 to 2014. Prior to his election to Congress, he was a managing partner at Stafford, Owens, Piller, Murnane, Kelleher & Trombley, PLLC, a Plattsburgh, New York law firm, where he practiced business and tax law for more than 30 years. In 2015, he rejoined the firm as a partner and resumed his role as Managing Partner in 2016. He also serves as Senior Advisor for Dentons, an international law firm. Mr. Owens holds a bachelor's degree from Manhattan College and a law degree from Fordham University. He has a unique understanding of the North Country, specifically the Plattsburgh market, and is a leading authority on U.S.-Canada trade issues.
