Prior to joining The Bowman Law Firm, Ms. Kinnear began her legal career in the Washington D.C office of Fried Frank. Since relocating to Denver in 1999, Ms. Kinnear has worked for local firms advising clients with respect to '33 and '34 Act issues, general business matters, business strategies, establishment of strategic relationships and the formation of new businesses. Most recently her practice focused on counseling clients on private placement transactions and federal and state securities law compliance.

Catherine Bowman founded The Bowman Law Firm in April 2008 in order to conduct due diligence on public and private securities offerings on behalf of independent broker/dealers, investment advisors, and other financial professionals. Ms. Bowman also provides consulting on broker/dealer regulatory and compliance matters; researching '33 Act and '34 Act laws and regulations, broker/dealer regulations and state securities laws and regulations; contract negotiation and drafting; as well as providing expert witness services.
Prior to founding The Bowman Law Firm, Ms. Bowman was Chief Compliance Officer, Senior Vice President and Corporate Counsel for CNL Securities Corp., overseeing the compliance and due diligence departments of CNL's managing dealer of private and public offerings. Earlier in her career at CNL, Ms. Bowman also oversaw the REIT offering document filing process.
Ms. Bowman started her law career over 27 years ago at Gray, Harris & Robinson, P.A. focusing on corporate and securities law practice for publicly held and privately held clients.
Ms. Bowman received her J.D. from Washington & Lee University School of Law and her BSBA in Economics from the University of Florida. She is a member of the Florida Bar, the Tennessee Bar, the American Bar Association, has been admitted to the US Supreme Court, a member of the ADISA board of directors since 2014, an alumnus of Leadership Orlando (Class 52) and Outward Bound and has obtained her CRCP Designation from the FINRA Institute at Wharton. Ms. Smith focuses her practice on legal due diligence reviews of public and private offerings.
Prior to working with The Bowman Law Firm, Ms. Smith started her legal career in Denver, Colorado as a litigation associate at a local law firm, where she handled cases in state and federal court, including appeals to the Colorado Court of Appeals and the Colorado Supreme Court. Ms. Smith subsequently moved to another local firm, where she became a shareholder and focused on corporate law and litigation. After eleven years with the second firm, Ms. Smith established her own law firm, serving clients through various firms in the Denver Metropolitan Area as well as through direct representation in the areas of business formation, licensing, regulation and compliance, construction law, and civil and commercial litigation​.
Mr. Wegner has been working in the alternative investment arena since 2015 on both public and private offerings ranging from $5 million to $1.5 billion in capital raise. Offerings have included residential and commercial real estate, healthcare, business development companies, debt, equity, oil & gas, among others.
Prior to his time in the alternative investment industry, Mr. Wegner worked for several years in the healthcare industry including as the Director of Legal for an eldercare non-profit organization and managing a $250 million IT vendor portfolio for a national hospital organization. In addition, Mr. Wegner has extensive experience as an attorney in transactional, business, criminal, and contract law.
Mr. Wegner has a Juris Doctorate from St. Louis University and acquired his M.B.A. with focuses in Finance and Sustainability Management from the University of Colorado. Mr. Wegner is currently licensed to practice law in the state of Colorado. Mr. Wegner also sits on the boards for a local animal rescue and two soccer non-profits.
Mr. Hedstrom has over 12 years of experience in commercial real estate and investments. Prior to joining The Bowman Law Firm, Mr. Hedstrom was Vice President at SK Research where he focused on providing financial research and due diligence support to broker-dealers and financial advisors. Mr. Hedstrom was instrumental in analyzing various issuer offerings and generating comprehensive and informative reports for the broker-dealer industry.
Prior to SK Research, Mr. Hedstrom worked for a large sponsor of non-traded REITs, focusing on industry research and the management of a $10 billion portfolio where he utilized his expertise in analytics and various valuation assumption techniques. Mr. Hedstrom started his real estate career with a private mid-cap real estate development and investment firm focusing on a wide array of responsibilities including acquisitions, financial analysis, and overall development functions.
Mr. Hedstrom received his M.B.A and B.S. in Finance from the W.P. Carey School of Business at Arizona State University.
