Amy has dedicated her education and career to understanding the intersection between the law and government practices. Her practice centers on advising private real estate developers, end users, public utilities, and local governments and helping them navigate their complicated land use and commercial real estate issues through all stages of the legal process-from overseeing transactional matters, to drafting development agreements, handling administrative land use approvals and proceedings before local government boards, and litigating cases and appeals.
Prior to joining Smith Anderson, Amy worked for an international law firm representing clients in land use and commercial real estate matters. She also served as the legislative liaison for the North Carolina Industrial Commission and as a law clerk for the North Carolina Court of Appeals. Additionally, Amy holds a Master of Public Administration from the University of North Carolina at Chapel Hill.
Outside of the office, Amy is committed to civic engagement and community service. She currently serves as the President of the Capital City Clauses, a local nonprofit whose mission is to bring hope, cheer and joy to kids by being the sprinkles in their lives on Christmas morning and throughout the year through various toy gifting and grant opportunities.

Amy Batten has over 30 years of experience in counseling public and private companies on corporate governance and complex securities laws and co-leads Smith Anderson's Corporate and Transactional team. She works closely with executives and boards of directors, assisting with day-to-day compliance and advising on strategic corporate and capital raising transactions. Amy has advised many of the region's largest and growing public companies and previously spent time in house with IBM Corporation.
Amy has served as primary outside counsel for companies conducting public and private offerings and facilitating secondary offerings from private equity sponsor shareholders in a wide variety of offering structures, including, among others, initial public offerings, fully marketed underwritten offerings, confidentially marketed shelf takedowns, bought deals, PIPEs and registered and private notes offerings.
In addition to providing securities advice, Amy regularly counsels public and private companies on governance structuring and best practices, conducts board and committee self-assessments, advises on general corporate matters and has substantial experience with mergers, acquisitions and other core corporate transactions.
Amy serves as Chair of the firm's Management Committee.

Ansley Chapman Cella, a partner in the firm's Trusts and Estates group, has assisted closely-held business owners and high net worth individuals with estate planning matters for over twenty years. Ansley received her LL.M in Estate Planning and advises on tax and non-tax aspects of lifetime and post-mortem wealth transfers, business succession, asset protection, and charitable planning.
Prior to joining Smith Anderson, Ansley practiced trusts and estates law at a Raleigh law firm.
