Agostino Russo - Chief Legal Officer, Secretary

Before joining Teranet in May 2011, Russo was Vice President and General Counsel at BCE Inc., Canada's largest communications company. In this role, he led the planning and performance of all legal services for the Bell Canada consumer businesses including Bell Home Phone, Bell Mobility, Bell Internet and Bell TV. Russo provided strategic legal and business counsel on a broad range of matters including the structuring, drafting and negotiation of major corporate/commercial agreements and the development, marketing, sales and service of a broad range of consumer products. Russo originally joined BCE in 2001 as Senior Counsel and then held a number of progressively more senior roles.
From 1997 to 2001, Russo was Senior Counsel at the Greater Toronto Airports Authority, the Canadian airport authority responsible for the development and operation of Toronto Pearson International Airport. As Senior Counsel, Russo supported senior management on a wide range of corporate/commercial, real estate and financing issues, including the financing, development, construction and leasing of the $4.4 billion terminal and cargo facilities that are now in place at Pearson comprising the new Terminal 1, renovated Terminal 3 and new airfield development.
From 1991 to 1996, Russo was an associate lawyer at Torys LLP, where he provided legal services to public and private enterprises on a range of complex corporate/commercial and real estate law issues including acquisitions and dispositions, joint ventures and co-ownership arrangements, financing and securities matters.
Russo received his J.D. from the University of Toronto Law School in 1989 and was called to the Bar of the Province of Ontario in 1991.

David A.N. Lever is a senior counsel in McCarthy Tétrault's Corporate Finance and Mergers & Acquisitions Group in Toronto. In addition, he is the Co-Head of the firm's Infrastructure Group and Co-Head of the firm's Projects practice. His practice has a specific focus on project development, project finance, corporate finance and mergers and acquisitions in the energy and the infrastructure sectors.
David has been actively involved in the power industry for more than 25 years. During this period, he has acted for developers, investors and lenders in connection with wind, hydro, nuclear, solar, biomass and biogas power projects in Canada and abroad. David has provided counsel in the areas of contract negotiation, permitting and regulatory matters, ownership structures and partnership and joint venture arrangements. He has extensive experience in financings for public and private corporations in both public and private markets.
David has also been actively involved in infrastructure projects in Canada, including acting for developers in connection with roads, airports, schools, hospitals and prison projects, and for lenders in connection with a number of social infrastructure projects. David has extensive experience in public-private partnership arrangements and long-term contracts with Governments. He also provides advice with respect to government procurements and related contracts, including on defence and security related matters.
David is recognized as one of Canada's leading projects experts.
David is a graduate of the University of Western Ontario LLB, the London School of Economics (M.Sc. in Finance and Accounting), and the University of Toronto (MBA).
David served for 6 years as the Chair of the McCarthy Tetrault's Board of Directors.
Dilprit Grewal serves as the Chief Customer Officer (CCO) at Teranet, leading two key areas of the business: Registry Operations and Commercial Solutions. He is responsible for Teranet's revenue and plays a crucial role in making sure the company continues to grow and succeed. Dil leads diverse teams to create new products, improve existing ones, and build strong customer relationships. His goal is to boost efficiency, overall customer satisfaction and generate new revenue streams to help Teranet increase its value for our shareholder. Dil focuses on disciplined and repeatable methods for product ideation, customer engagement, pipeline development, relationship building, and new product/market identification, ensuring continuous operational improvement and efficiency.

Kerri is responsible for enhancing the organization's operational and financial performance and organization value by working in concert with the board, executive team and the financial community, including rating agencies, investors and financial institutions in the analysis, evaluation, planning, and execution of existing operations and growth strategies.
Before joining Teranet, Kerri was CFO at Pivot Technology Solutions, a leading provider of enterprise-level IT infrastructure solutions. In this role, Kerri had a broad scope of accountability including public company disclosures and related governance, investor relations, strategic financing, and financial performance management and planning. Prior to his appointment as CFO, he served as Pivot's Vice President, Corporate Finance and was responsible for leading the company's corporate development initiatives.
Prior to joining Pivot, Kerri held various senior finance roles at Symcor Inc., one of Canada's largest financial processing outsourcers. As the head of its corporate development team, he was involved in successfully negotiating large-scale outsourcing agreements with leading North American financial institutions. His career also includes various corporate development, strategic planning and operational financial management roles, mostly in the technology and financial services sectors.
Kerri holds Chartered Professional Accountant (Chartered Accountant) and Chartered Accountant designations in Canada and South Africa, respectively. He has a Bachelor of Commerce from University of Cape Town.

Paul's over 30 year career in technology included being appointed Hewlett-Packard's (HP) Vice-President of Technology Support, Americas in May 2010. Before taking on the Americas leadership role, he was President and Chief Executive Officer of Hewlett-Packard (Canada) Co. from September 1998 to April 2010, assuming leadership for all aspects of the company's operations in Canada, adding distinctive value to the customers, partners and communities it served.
Paul joined HP in 1984 and has held progressively senior appointments including Telecommunications General Manager, General Manager for HP Consulting and, prior to his CEO appointment, Vice-President, Computer Organization. He also worked and studied internationally, attending the Co-operative Japanese and Business Society Program in Tokyo with the Council of International Educational Exchange.

Peter Gray joined the Teranet Board of Directors in 2021 and currently serves as Chairperson of the Investment Committee and a member of the Audit & Risk Committee.
Peter is a Managing Director with OMERS Infrastructure and is responsible for leading OMERS Infrastructure's activities in the digital infrastructure sector in North America. Since joining OMERS Infrastructure in early 2014, Mr. Gray has been involved in the execution and asset management of numerous investments, and currently serves as a director of multiple portfolio companies, in addition to Teranet.
Peter has over 16 years of experience in the infrastructure sector, and in 2023 was recognized by Infrastructure Investor as one of the industry's Rising Stars. Prior to joining OMERS, Peter held positions with HSBC, Bank of America Merrill Lynch, and Allstate Investments in London, UK and Chicago.
Mr. Gray received a BS in Business Administration, with a concentration in Finance, from Babson College, where he graduated magna cum laude. Mr. Gray is a CFA® charterholder.

Reena joined OMERS in 2003. Effective March 3, 2024, she assumed the role of Senior Managing Director, Portfolio Management & Operations, overseeing all operational functions, portfolio construction and the sustainable investing strategy for OMERS Infrastructure globally.
Reena previously served as EVP, Investment Finance & Valuations, leading the accounting, planning and valuation functions for Infrastrucutre and Private Equity. She also served as OMERS Global Head of Assurance and Advisory from 2015 to 2018. Prior to this, Reena was the CFO of Borealis Infrastructure, overseeing all finance and valuations matters, in addition to strategic planning, risk management, treasury, debt and tax compliance. She has also served on a number of committees with OMERS investments, including the audit committees of Bruce Power, Teranet Inc.
Reena is currently a member of Cymbria Corporation's Board of Directors and chairs its Audit Committee.

In this role, Scott is responsible for aligning M&A focus with corporate strategy and the origination and execution of M&A opportunities. He is also responsible for the development and pursuit of government opportunities.
Before joining Teranet, Scott was Vice President of Asset Optimization at Infrastructure Ontario where he worked on valuation, optimization and transaction structures for a number of government assets. Before this he was a Managing Director in RBC's Infrastructure Investment Group based in Boston and held senior positions in private equity in Canada and the United States.
Scott holds an Economics degree from the University of Western Ontario, and an MBA from the Schulich School of Business at York University. He is a CFA charter holder.

In this role, he is responsible for ensuring Teranet's commercial operations are successful and profitable. Tim focuses on aligning sales, marketing, and product management to create new products and services, enhance customer relationships, and drive revenue growth. His work is crucial in maintaining and growing Teranet's market presence by developing innovative solutions and expanding into new markets.
With over two decades of experience in the financial services industry, Tim's last role was as Vice President of Filogix, a Finastra Company, that connects over 20,000 mortgage originators to 230+ lenders in Canada. During his time at Filogix, Tim was responsible for growing the overall value of the business, expanding revenue by developing new channels and most recently transforming the business to a marketplace provider through the strategic acquisition of an industry-leading technology platform.
Before Filogix, Tim led the design and execution of channel development, sales, distribution and portfolio strategies and served for several years as the Chief Operating Officer of Mortgage Centre Canada, ultimately assisting in the sale of the asset prior to his departure. He also spent several years working for D+H as a global account manager, where he first became familiar with the collateral management business.
Tim holds a Bachelor of Arts degree from the University of Windsor and has completed many executive training programs throughout his career.
Tim lives in Burlington with his wife and kids. He is very active in his community and can often be found coaching hockey, working on school council projects and other community programs. He is also a board member of the Learning Disabilities Association of Halton-Hamilton (LDAHH).
Tim enjoys weekends at the family cottage and outdoor family activities.
