Philip J. Kahn

Philip J. Kahn has 15+ years of broad corporate law experience, including as (i) a corporate associate at Debevoise & Plimpton and Akin Gump in New York City; and (ii) Associate Counsel at Major League Baseball Enterprises. Phil has extensive experience in mergers and acquisitions, public and private financings, joint ventures, securities law matters (including distressed-debt trading), and corporate governance matters. He also has substantial experience drafting and negotiating a broad range of corporate agreements, including LLC operating agreements, investor rights agreements, registration rights agreements, transition services agreements, non-competition agreements, escrow agreements and voting agreements. Phil graduated from Vassar College (B.A.), where he majored in History and minored in Economics; and Benjamin N. Cardozo School of Law (J.D., magna cum laude), where he was Editor-in-Chief of the Cardozo Law Review. He is a member of the New York Bar and is Of Counsel to the firm.

Scott Edward Walker is the founder and CEO of Walker Corporate Law. Scott has 20+ years of broad corporate and securities law experience, including nearly eight years at two prominent New York City law firms - where he represented major multinational corporations (e.g., Sony and Daimler), financial institutions (e.g., J.P. Morgan) and private equity firms (e.g., Apollo) in transactions valued in the billions of dollars. In 2005, Scott moved to California to launch Walker Corporate Law. Indeed, while working at the big New York City law firms, Scott identified a huge problem in the legal marketplace - i.e., that the big-firm template often doesn't work for entrepreneurs and startups. Accordingly, he headed west - to the land of the entrepreneurs - to try to solve this problem by building his own law firm with a new, innovative business model. He has been a speaker on various topics (including startup issues, financings, and mergers & acquisitions) and has written numerous articles and blog posts for TechCrunch, Forbes, VentureBeat and The Huffington Post. Scott graduated from Cornell University (A.B.), St. John's University School of Law (J.D.) and New York University School of Law (LL.M., Corporation Law) and is a member of the California, New York and Washington, D.C. Bars and numerous Bar committees, including (i) the Committee on Mergers and Acquisitions and (ii) the Private Equity and Venture Capital Committee, each of the American Bar Association. In 2011, Scott came full circle and opened an office in New York City to help the burgeoning class of entrepreneurs and startups in the Big Apple.

Thomas Newell

Thomas Newell has 25+ years of sophisticated legal experience (including 5+ years at O'Melveny & Myers and 7+ years at CBS, Inc.) and focuses primarily on intellectual property (IP) protection and strategy. Tom has represented a broad range of startups and emerging-growth companies in connection with IP and technology issues. He has strong experience drafting and negotiating licensing, technology and internet agreements, as well as drafting terms of service, privacy policies and contest rules. Tom graduated from Stanford University (B.A.) and the University of Southern California, (J.D., Order of the Coif) and is a member of the California Bar. He is Of Counsel to the firm.
