PRESENT POSITION:Christine T. Lee is a Senior Valuation Consultant with the Long Beach, California office of Klaris, Thomson & Schroeder, Inc. EXPERIENCE:Ms. Lee has been actively engaged in the appraisal profession for 17 years. She specializes in the valuation of equity interests in closely-held entities involving controlling and minority interests for estate tax, estate planning, ESOPs, litigation support, divorce, dissolution, SBA financing, corporate planning, merger/acquisition, sale/purchase, fairness opinions, purchase price allocation, intangible assets and other purposes in many different industries. In addition, Ms. Lee has valued various interests in General and Limited Partnerships; undivided interests of various assets; promissory notes; conducted voting versus non-voting stock discount studies; and opined on reasonable compensation. Ms. Lee also specializes in the valuation of real estate. Ms. Lee's real estate valuation experience includes but is not limited to the following: multi-family complexes, office and industrial buildings, mobile home parks, golf courses, leasehold interests in Marinas, subdivision developments, ranches, various agricultural properties. Ms. Lee is the current Senior Vice President of the Los Angeles Chapter of the American Society of Appraisers. Her past positions for the Los Angeles Chapter included: Vice President (2013-12), Secretary (2012-11), Treasurer (2011-10) and Business Valuation Chair (2010-09). Ms. Lee is a General Certified Real Estate Appraiser for the State of California (#AG039621). She is a Candidate for the MAI Designation given by the Appraisal Institute. TESTIMONY EXPERIENCE: Ms. Lee has testified as an expert witness in the state of California. Ms. Lee has testified on Ad Valorem issues in the County of San Bernardino. EDUCATION:Ms. Lee attended Mount St. Mary's in Los Angeles, California, and holds a B.A. in Business Administration. In addition, Ms. Lee received her MBA in 2004. She has attended numerous appraisal courses and seminars conducted by the American Society of Appraisers, the Appraisal Institute, and others. She coordinated and hosted the U.S. Tax Court Case Symposium for the Los Angeles Chapter of the American Society of Appraisers (5/17/2012).

PRESENT POSITION: Mr. Louis DiSilvestro is a Vice President of Klaris, Thomson & Schroeder, Inc. Mr. DiSilvestro specializes in financial valuations. PROFESSIONAL AFFILIATIONS: Mr. DiSilvestro is a Chartered Financial Analyst. He is a member of the Financial Analysts Federation and the Association for Investment Management and Research. He is also an Accredited Senior Appraiser (ASA) in the valuation of businesses and intangible assets by the American Society of Appraisers. EXPERIENCE: Appraisals prepared by Mr. DiSilvestro have included the valuation of closely held companies of all varieties and endeavors, all types of intangible assets, SBA valuations, options and warrants, and inactively traded public and restricted securities. Specifically, his experience encompasses the valuation of capital stock for closely held companies involving controlling and minority interests for ESOPs, buyouts, recapitalizations, and estate tax planning; transaction analyses and due diligence studies for solvency and fairness opinions; allocation of purchase price studies; and the valuation of intangible assets such as patents, technology, trademarks, and customer lists, among others. In addition to the foregoing, he has prepared contemporaneous documentation studies relating to IRC Section 482. EMPLOYMENT: Before joining Klaris, Thomson & Schroeder, Inc., Mr. DiSilvestro was a Senior Valuation Consultant with another national multi-discipline appraisal firm. Mr. DiSilvestro began his employment with a national multi-discipline appraisal firm in 1988. Prior to his position at that firm, he worked as an economic analyst specializing in the valuation of economic damages. Mr. Gary L. Schroeder - VP

PRESENT POSITION: Mr. Gary L. Schroeder is a Vice President and the Managing Director of the St. Louis area office of Klaris, Thomson & Schroeder, Inc. PROFESSIONAL AFFILIATIONS:Mr. Schroeder is an Accredited Senior Appraiser (ASA) in the valuation of businesses and intangible assets by the American Society of Appraisers. He is a past president of the St. Louis Chapter of the American Society of Appraisers. Mr. Schroeder was also a two term (6 years) elected member of the International Business Valuation Committee of the American Society of Appraisers. EXPERIENCE:Actively engaged in the appraisal and consulting profession since 1981, his experience covers a wide range of business and healthcare valuations for acquisitions, SBA valuations, allocation of purchase price, estate and gift taxes, liquidations, ESOPs, and solvency and fairness opinions. He has also valued patents, trademarks, trade names, customer lists, employment and consulting agreements, proprietary product technologies, assembled work forces, computer software, distribution networks, covenants not to compete, and other intangible assets. Other consulting assignments have covered a wide range of technology and marketing intangible asset transfers and product line pricing studies. EMPLOYMENT:Before joining Klaris, Thomson & Schroeder, Inc., Mr. Schroeder was a senior consultant and financial discipline leader for Marshall and Stevens Incorporated. His primary responsibility was the project management of financial consulting assignments. These assignments included the valuation of enterprise equity and invested capital, the valuation of intangible assets, the determination of arm's length royalty rates for technology and marketing intangible asset transfers or licenses, and the determination of arm's length product line pricing. TEACHING:In addition to his responsibilities at Klaris, Thomson & Schroeder, Inc., Mr. Schroeder was an instructor at Lindenwood College in St. Charles, Missouri where he taught valuation, investment analysis, financial analysis, and economics. He was also a business valuation instructor for the International Valuation Sciences Institute and an instructor of national business valuation courses for the American Society of Appraisers. Mr. Schroeder also taught finance part-time at McHenry County College in Crystal Lake, Illinois, for 2 years. MILITARY:Mr. Schroeder served 3 years in the United States Marine Corps. During his tour of duty, he managed various retail stores and warehouses at the Marine Corp Recruit Depot in San Diego, California and at Camp Pendleton in California. His responsibilities included all aspects of operating small businesses. EDUCATION:Mr. Schroeder attended Illinois State University and received a B.S. degree (summa cum laude) in business administration as well as an M.B.A. degree in finance. PROFESSIONAL AFFILIATIONS: Mr. Waller is an Accredited Senior Appraiser (ASA) in the valuation of businesses by the American Society of Appraisers. He is a past president of the St. Louis Chapter of the American Society of Appraisers. EXPERIENCE: Active in the appraisal profession since 1996, Mr. Waller has prepared valuations for sale/purchase, divorce, ESOPs, SBA financing, gift & estate taxes, corporate planning, and due diligence studies. Mr. Waller's experience has also included valuing a variety of entities in the healthcare sector (hospitals, multiple physician groups, independent physicians, and management service organizations). EMPLOYMENT: Before joining Klaris, Thomson & Schroeder, Inc., Mr. Waller was a valuation consultant specializing in business valuation for a small St. Louis valuation company. Before his association with the local valuation company, Mr. Waller was previously involved in business valuation and financial analysis for Health Capital Consultants, LLC (a privately held firm primarily engaged in merger, acquisition, and integrative services). TEACHING: Mr. Waller has on several occasions been a discussion leader for Health Care Industry & Medical Practice Valuation offered by the American Institute of Certified Public Accountants (AICPA). In addition, Mr. Waller was an adjunct instructor at Lindenwood University in St. Charles, Missouri, where he taught financial accounting, managerial accounting, and principles of finance for 10 years. EDUCATION: Mr. Waller holds an MBA, with a concentration in finance, from Saint Louis University. He received a B.B.A. in accounting from the University of Missouri at St. Louis. PRESENT POSITION: Rose R. Moroz is a Senior Valuation Consultant in the Philadelphia area office of Klaris, Thomson & Schroeder, Inc. Professional Affiliations: Miss Moroz is a member of the Philadelphia Estate Planning Council (PEPC) and The CFA Institute. She is an Accredited Senior Appraiser (ASA) in business valuation awarded by the American Society of Appraisers. She is also a past president of the Southern New Jersey Chapter of the ASA and has held the position of chapter secretary for the past five years. Experience: Actively engaged in the appraisal and consulting profession since 1989, her experience encompasses a wide range of business and intangible asset valuations for a variety of purposes including SBA valuations. She has prepared appraisals of closely held companies (S-Corp, C-Corp, LLC's, Partnerships, ESOPs) on both controlling and minority interest basis, for gift and estate tax planning, buy/sell agreements, corporate planning and income tax purposes. She has also focused on the valuation of intangible assets for financial reporting purposes relative to ASC 805-Business Combinations and ASC 350-Goodwill Impairment. In conjunction with purchase price allocation requirements, she has valued trademarks, trade names, patents, customer relationships, order backlog, assembled workforce, covenants not to compete, computer software, inventory and other intangible assets.
