David Johnston's practice focuses primarily on real estate transactions, secured transactions, creditor rights, contracts, and serving in a general counsel role to closely-held businesses. In addition to his transaction practice, David also advises clients on real estate and commercial disputes. His extensive litigation experience greatly benefits his real estate transactions clients when dispute resolution issues arise.
Greg Russell has practiced business transactional work for more than 30 years. He has a broad-based practice including external general counsel representation, mergers and acquisitions, corporate finance, real estate, succession and exit planning, and counseling on general business issues overall.
A great deal of Greg's practice is focused on mergers and acquisitions. He has developed significant experience in this area, particularly with respect to representing buyers and sellers in dozens of transactions. Many of these matters involve representing closely-held and family businesses that typically range in value of $5 to $150 million. Greg has developed a specific practice around buyer representation, with a focused process for assisting clients in acquiring businesses in a highly efficient manner. He advises on their due diligence, acquisition financing and related matters.
With a broad-based corporate advisory and transactional background, Greg's practice also includes advising businesses and business owners on shareholder and partner agreements, commercial transactions, asset and stock purchases, and commercial finance and related transactions (including private placements of securities under Regulation D). He also represents clients in the negotiation, drafting, and review of complex business agreements, executive compensation matters (including deferred compensation through option and other incentive programs), and shareholder disputes (including shareholder "divorces").
Paralegal Leslie Green has been with the firm for 26 years, including the time she worked with many of the PRKL attorneys while at Williams Kastner & Gibbs. She supports the firm and clients in corporate and transactional law matters, including business formation, maintenance, acquisitions, mergers, transactional closings, and securities matters (including the preparation and filing of documents under Regulation D).
Livengood Alskog can be traced to its founding member, Maury Powell, who began practicing in 1935. Maury was the first full-time lawyer on the Eastside of Seattle, Washington, opening an office in the Kirkland National Bank Building at the corner of Lake Street and Kirkland Way. Gordon Livengood joined the firm in 1952, and the name of the firm was changed to Powell, Johnson & Livengood.
Over the years, a number of attorneys joined the firm, and it became the trusted counsel for individuals, businesses, hospitals, school districts, and organizations on the Eastside of Seattle and surrounding communities. In 2014, the name of the firm was changed to Livengood Alskog.
