Alan D. Pogue - Shareholder

Alan D. Pogue specializes in special district and local government law, homeowners associations, commercial real estate development, residential real estate development, and resort real estate development. Mr. Pogue advises real estate developers in infrastructure financing mechanisms, including the formation of Title 32 special districts and other municipal financing vehicles. He assists Colorado special districts with their day-to-day legal issues, intergovernmental relationships, financing alternatives, covenant enforcement issues, and other legal matters and challenges that arise. Mr. Pogue also provides legal services to homeowner associations including drafting, interpreting and amending governing documents; drafting contracts; and advising associations on issues of covenant enforcement and assessment collections. In addition, Mr. Pogue assists real estate resort developers in complying with interstate land sales registration requirements under federal and state laws. Mr. Pogue received a Bachelor of Arts degree from the University of Georgia and obtained his Juris Doctorate from the University of Denver. Mr. Pogue is admitted to practice law in the States of Colorado and Georgia, and is admitted to the United States District Court for Colorado and the United States Court of Appeals for the Tenth Circuit.

T. Edward Icenogle

T. Edward Icenogle's legal practice has, for decades, served governments, communities, and infrastructure developers, providing solutions for infrastructure needs and infrastructure financing challenges. Mr. Icenogle consults with firm attorneys with principal responsibility for public and private sector clients in the establishment of regional and local governments which can provide infrastructure and public services solutions. Those governments include special districts and regional authorities. He assists with both traditional legal services and more recent innovations, such as public/private partnerships and monetization of public assets. He has worked with a number of regional authorities, comprising multiple municipalities and counties, and a considerable number of special districts. He is experienced in public works contracting, including traditional and alternative delivery systems for transportation (both roads and transit), water, sewer, and other infrastructure. Mr. Icenogle received his Juris Doctorate from the University of Nebraska in 1977 and his Bachelor of Arts degree from Nebraska in 1975. He is admitted to practice law in the state and federal courts of Colorado, as well as the Supreme Court of the United States. A trial lawyer from 1978 to 1989, he has since served exclusively as counsel to state, regional, and local governments and as special counsel to communities and land developers.

Tamara K. Seaver serves as general counsel for myriad Colorado public and quasi-public entities, including a broad variety of water and sanitation, metropolitan, park and recreation, and other special districts. Additionally, Ms. Seaver represents all of Colorado's public highway authorities. She also regularly counsels real estate developers and homeowners regarding special district and other local governmental affairs. In her practice, Ms. Seaver advises her clients regarding various infrastructure finance matters, including tax increment financing, urban renewal authorities, public improvement fees, and various public-private partnerships. Over the course of her career, Ms. Seaver has had the honor of serving as special counsel to large suburban counties, cities, and various civic groups for the purpose of advising on governance structures and funding options for desired public projects. Ms. Seaver has extensive experience with all aspects of public construction contracting in her role as owner's counsel for her public sector clients. Ms. Seaver has vast expertise in design-bid-build, design/build, construction manager/general contractor (GM/GC), construction manager at risk (CMAR), design/build/operate finance and other innovative or public/private (P3) contracting methodologies. Ms. Seaver also routinely drafts and negotiates various intergovernmental agreements for her clients governing their participation in the funding, construction, and operation of public projects ranging from major highway interchanges to parks, local trails, water and wastewater facilities, and water and wastewater treatment plants. Ms. Seaver has three times been named a Top Lawyer in Transportation by 5280 Magazine, most recently for 2024. She has participated in the 48-lawyer invitation-only U.S. Infrastructure Law Forum, and she regularly speaks at the Colorado Special District Association's Annual Conferences. She has spoken around the country and in Berlin regarding public project governance and associated funding. Ms. Seaver is a Colorado native who earned her Juris Doctorate from the University of Denver College of Law in 1994. In 1991, she received a Bachelor of Science in Business Administration from the University of Colorado, Boulder.
