Members of the Operations team and Operating Partners ("Operations Professionals") generally assist Periscope Equity in its operational due diligence and provide other transactional support for prospective and consummated transactions and assist Periscope Equity in its post-closing operating and other initiatives for portfolio companies. While the Operations team members are employees of Periscope Equity, Operating Partners are third-party independent contractors. The compensation of Operations Professionals is generally borne by portfolio companies and/or Periscope Equity-sponsored funds without any offset to management fees paid to Periscope Equity by such funds, but, from time-to-time, certain of such Operations Professionals are expected to provide services to and/or receive compensation, benefits or other resources from Periscope Equity. The level and type of such compensation borne by the portfolio companies and/or the funds, on the one hand, and by Periscope Equity, on the other hand, is expected to vary. Board Members and Operating Partners generally assist Periscope Equity in its market due diligence and provide other transactional support for prospective and consummated transactions and assist Periscope Equity in its post-closing operating and other initiatives for portfolio companies. Board Members are third-party independent contractors. Their compensation is generally borne by portfolio companies and/or Periscope Equity-sponsored funds without any offset to management fees paid to Periscope Equity by such funds, but, from time-to-time, certain Board Members are expected to provide services to and/or receive compensation, benefits or other resources from Periscope Equity.
