Andrew Clark

Andrew heads up our commercial practice and has experience advising on a wide range of commercial transactions. He has advised on corporate and commercial deals across a range of industry sectors including media and technology, natural resources, real estate, life sciences, shipping and logistics, aviation, infrastructure and financial services. Andrew is listed as a recommended commercial lawyer in the 2021 Doyle's guide to the Australian legal profession. Andrew regularly advises on: joint ventures and shareholder arrangements; commercial contracts including the supply of goods and services, SaaS agreements, distribution and manufacturing agreements; and all aspects of consulting, subcontracting and employment agreements. Prior to joining Talbot Sayer, Andrew was a partner in the London office of leading international law firm Reed Smith LLP and spent 9 years advising on various transactions throughout Europe, Asia and the US. Jeremy Ziegelaar

Having graduated from the University of Queensland in 2018 with a Bachelor of Laws (First Class Honours), Jeremy joined Talbot Sayer from a Brisbane-based law firm, which provided him with significant experience in a wide variety of legal areas, including property, wills and estates, commercial, litigation and corporate law. Admitted as a solicitor of the Supreme Court of Queensland, and currently a member of Talbot Sayer's corporate team, Jeremy appreciates the need to create client-focused solutions. By thoroughly understanding a client's goals and requirements, he assists in matters by presenting solutions that require as little "back-and-forth" discussion and drafting as possible.

Michael Dearden

Michael has more than 15 years' experience practising in Australia and the UK advising a broad range of international, Australian and UK clients, including major corporations, private equity, financial institutions, investment funds and government entities, on a wide spectrum of corporate matters, including mergers and acquisitions, shareholder investments, joint ventures, shareholder arrangements, infrastructure, energy transition and renewables projects and transactions, privatisations and company law and corporate governance matters. Michael has extensive experience and expertise advising on significant and complex mergers and acquisitions, in both cross-border and domestic contexts, across a variety of industry sectors, including financial services, infrastructure, energy and renewables, retail and hospitality, manufacturing and distribution, telecommunications and pharmaceuticals and healthcare. In particular, Michael has advised a number of investment funds and private equity firms on acquisitions of and investments into Australian assets, companies and businesses.

Sarah Johnson

Sarah assists clients with a wide range of corporate law matters and assists in all aspects of these matters including due diligence, preparation and negotiation of transaction documents and completion processes. Sarah enjoys combining her legal and commerce knowledge to understand both the technical and commercial issues for clients. In doing so, she is able to provide tailored advice to clients and create strategic and client-focused solutions. She has played a key role on a number of large transactions since joining Talbot Sayer in 2021.
