Douglas M. Seaton - CEO

specializes in public finance and has been the director of D. Seaton and Associates' public finance practice since 2004, serving as bond counsel, disclosure counsel, bank counsel, issuer's counsel and underwriters' counsel. Mr. Seaton is experienced across a broad spectrum of financings having worked on over $120 billion in transportation, general obligation, water and sewer, industrial development, special assessment, school district, higher education, healthcare, single/multifamily housing, stadium, seaport and airport bond issuances. These financings included tax-exempt and taxable, tax credit, deficit/working capital, fixed and variable rate, advance/current refunding bonds; as well as certificates of participation, commercial paper, liquidity and credit enhancement, derivatives, direct purchase, and future tax secured structures. Mr. Seaton has served as bond counsel and/or disclosure counsel during the past 20 years to several sophisticated issuers on complex financings including public private partnerships. These issuers include, among others, Broward County Florida, Central Florida Expressway Authority, the City of Jacksonville Florida, the City of Miami Florida, the City of Miami Gardens Florida, the City of Orlando Florida, the Dormitory Authority of the State of New York, Empire State Development (NY), the Greater Orlando Aviation Authority (FL), the Metropolitan Transportation Authority and its affiliates (NY), Miami-Dade County Florida, Miami-Dade Expressway Authority (FL), New York Convention Center Development Corporation, New York State Environmental Facilities Corporation, New York State Housing Finance Agency, New York Transportation Development Corporation, the School Board of Broward County Florida, the School Board of Miami-Dade County Florida, the School Board of Palm Beach County Florida, the State of New York Mortgage Agency, the Tobacco Settlement Financing Corporation (NY). Mr. Seaton received his Bachelor of Science degree from Tufts University in 1991, majoring in Psychology and his Juris Doctor from the Hofstra University School of Law in 1995. Jeffrey M. Perlman

Mr. Perlman has worked on over 225 transactions with an aggregate principal amount of more than $100 billion, including revenue, general obligation, transportation, airport, seaport, water and sewer, healthcare, education, future tax secured, variable and fixed-rate bonds, commercial paper, and working capital financings. He also has experience with public-private partnerships, derivatives, direct purchases, letters of credit, and standby bond purchase agreements. Mr. Perlman previously served as counsel to the City of New York, at the Mayor's Office of Management and Budget and to the Commonwealth of Massachusetts at the State Treasurer's Office. He worked on many of Massachusetts' nationally recognized innovations in the public finance market. These included the Commonwealth's regularly scheduled disclosure update process, the first issuance of Green Bonds in the municipal bond market, and MassDirect Notes, Massachusetts' continuous retail offering of bonds through an alternative trading platform, which was awarded the Bond Buyer's Deal of the Year award in 2014. Mr. Perlman received his Juris Doctor from Boston College Law School in 2006 and his Bachelor of Arts in 2003 from the University of Massachusetts Amherst, majoring in Psychology, where he graduated magna cum laude and was elected to Phi Beta Kappa. Mr. Perlman is a member of the National Association of Bond Lawyers. Mr. Perlman has served on NABL's Securities and Disclosure Committee and on the steering committee for NABL's Bond Attorneys Workshop in 2017 and as a panelist in 2014 and 2016. Michael B. McKenzie

Michael McKenzie's practice is primarily focused on public finance, serving as bond counsel, disclosure counsel, underwriter's counsel, bank's counsel, and special counsel for various types of tax-exempt and taxable public finance transactions for over 30 years. He joined D. Seaton and Associates in 2013. Mr. McKenzie has worked on over 1,000 transactions with an aggregate principal amount of more than $100 billion, including revenue, general obligation, transportation, airport, water and sewer, healthcare, education, future tax secured, variable and fixed-rate bonds, commercial paper, certificates of participation, bond anticipation notes and working capital financings. He also has experience with derivatives, direct purchases, and standby bond purchase agreements. He has worked on transactions in Florida, Texas, Georgia, Missouri, Louisiana, New York, New Jersey, Maryland, Virginia and the District of Columbia. Mr. McKenzie received his Juris Doctor from Georgetown University in 1978 and his Bachelor of Arts in 1973 from Harvard University. Mr. McKenzie is admitted to practice in New York and the District of Columbia.

Tracy Seaton is the Chief Operating Officer for D. Seaton and Associates. Tracy received a Bachelor of Science in Marketing Management from Virginia State University and a Masters in Management and Administration of Educational Programs, Summa Cum Laude, from Nova Southeastern University. Tracy has served in various leadership capacities and has been actively involved in the community. She is: a graduate of the Leadership Miami Program, a Trustee of United Way of Miami-Dade, a member of The Greater Fort Lauderdale Chapter of Jack and Jill of America Inc., a member of the Links Incorporated Greater Miami Chapter and a member of Delta Sigma Theta Sorority, Inc. Tracy has served: on the Mayor's Ball Committee benefiting the United Way of Miami-Dade; as the president and treasurer of The Miami Chapter of Jack and Jill of America Inc.; on the PTSA Board for Doctors Charter School and been appointed to the Board of Directors of Doctors Charter School. She has also volunteered with Jackson Health Care Systems NICU Parent support network, United Cerebral Palsy and the Honey Shine Mentoring Program.
