Alan W. Perry is an attorney with the law firm Bradley Arant Boult Cummings, LLP. Prior to February 2015, Mr. Perry was a member of the law firm Forman Perry Watkins Krutz & Tardy LLP for 28 years. Mr. Perry serves on the boards of two charitable foundations with the primary purpose of supporting colleges and universities in Mississippi. He is a former member of the Standing Committee on Rules of Practice and Procedure of the Judicial Conference of the United States and served as Law Clerk to Judge Charles Clark, United States Court of Appeals, Fifth Circuit.

Charlotte N. Corley is the former commissioner of the Mississippi Department of Banking and Consumer Finance (DBCF). Corley retired from the DBCF in January 2020 after 34 years of distinguished service. She began her career in the banking industry at Great Southern National Bank prior to joining the DBCF as a bank examiner in 1985. She rose swiftly through the ranks of the DBCF and became the banking division director in 2000, then deputy commissioner in 2013 and finally commissioner in 2014. During her tenure as commissioner, assets of state-chartered banks in Mississippi increased by nearly 50 percent from $60 billion in 2014 to almost $90 billion in 2019.

Chris A. Bagley is President and Chief Credit Officer of Cadence Bank. He has served at Cadence and its predecessors since 2014. Mr. Bagley has over 38 years of experience in commercial banking.
Prior to joining Cadence's predecessor, BancorpSouth, Mr. Bagley was previously a named executive officer and Chief Credit Officer of Prosperity Bancshares, Inc. in Houston, Texas. At Prosperity, he served on the seven-person executive committee, which directed and oversaw all bank lending and operations.
During his career, Mr. Bagley has also served as a regional loan concurrence officer, a voting member of the senior loan committee, a member of the operations and BSA risk committees, and was the lending liaison for the fair lending component of compliance exams. He has also served as a board of directors member for a publicly traded financial holding company.
Mr. Bagley earned a bachelor's degree in business administration from Stephen F. Austin State University and an MBA from the University of Houston. He is a former advisory board member of the University of Houston banking certificate program through the Bauer College of Business.

Deborah M. Cannon is the former President and Chief Executive Officer of Houston Zoo, Inc. from 2005 to 2015. From 1974 to July 2004, Mrs. Cannon served in a number of different positions with Bank of America, including as Executive Vice President and President of the Houston Region. Mrs. Cannon qualifies as an "audit committee financial expert" as defined under Securities and Exchange Commission regulations.
Mr. Braddock began his career in banking at NationsBank, N.A. After receiving his graduate degree, he served in trading and corporate development roles in the merchant energy business before returning to banking with BOKF, N.A., where he led the commercial banking practice in Houston.
Mr. Braddock is an active volunteer in his community and serves on the Texas A&M University Commercial Banking Program Advisory Board. He earned a bachelor's degree in business administration from Texas A&M University and an MBA from The University of Texas at Austin.

James D. Rollins III is Chairman and Chief Executive Officer of Cadence Bank. He has served as Chairman of the Board since April 2014 and Chief Executive Officer since November 2012.
Prior to that, he served as president and Chief Operating Officer of Prosperity Bancshares, Inc., headquartered in Houston, Texas, and director of Prosperity Bancshares from 2006 to 2012. Mr. Rollins served as Senior Vice President of Prosperity Bancshares from 2001 until 2006 and became President of Prosperity Bank in 2005. He served as Executive Vice President of Prosperity Bank from 2002 to 2004 and President of the Matagorda Banking Centers of Prosperity Bank from 1994 to 2002. From 1983 to 1994, Mr. Rollins worked for First State Bank and Trust Company in Port Lavaca and Bay City, Texas.
Mr. Rollins received a bachelor of business administration degree in finance from the University of Texas at Austin in 1983. He is a 1989 graduate of the Southwestern Graduate School of Banking at Southern Methodist University in Dallas, Texas. He graduated from the National Commercial Lending School in 1993 at the University of Oklahoma in Norman, Oklahoma.
Active in community and industry activities, Mr. Rollins serves as chairman of the North Mississippi Health Services' board of directors and is a member of the finance committee and major gifts committee for the Healthcare Foundation of North Mississippi. He leads the company's volunteering efforts, and previously served as the co-chair of the Hope and a Future capital campaign for the Salvation Army in Tupelo, Mississippi. He is married to Becky Rollins (formerly Buchanan), and they have two grown children, Kristin and J.D.

Joseph W. Evans served as Chairman of the Board of Directors and Chief Executive Officer of State Bank Financial Corporation and its subsidiary, State Bank and Trust Company, which merged with Cadence on January 1, 2019. He is the former Chairman, President and Chief Executive Officer of Flag Financial Corporation and previously served as President and Chief Executive Officer of Bank Corporation of Georgia and Century South Banks, Inc. Mr. Evans serves on the board of directors of Southern Trust Insurance Company. He is Chairman of the Buckhead Coalition and a member of the board of councilors of the Carter Center. He is also a member of the board of trustees of the Foundation of the Methodist Home of the South Georgia Conference and Chairman of the Investment Committee. Mr. Evans serves on the board of trustees of the Georgia Tech Foundation as Vice Chairman/Chair Elect and as a member of the Executive Committee. He also serves on the Executive Committee of the advisory board of the Scheller College of Business at Georgia Tech.

Kathy N. Waller is the Executive Director for the Atlanta Committee for Progress. She previously served as Chief Financial Officer and President, Enabling Services of The Coca-Cola Company (NYSE: KO), where she led the company's global finance, technical and shared services organizations, and represented the company to investors, lenders and rating agencies. After 32 years, Ms. Waller retired from The Coca-Cola Company on March 15, 2019. Ms. Waller also serves on the boards of directors for Delta Airlines (NYSE: DAL), CGI Group (NYSE: GIB) and Beyond Meat. In addition, she is a member of the Board of Trustees of Spelman College and The Woodruff Arts Center.

Marc J. Shapiro was an advisory director for Cadence and its predecessors from 2010 to 2018. He was formerly the non-executive Chairman of JPMorgan Chase & Co.'s Texas operations and Vice Chairman for Finance and Risk Management of JPMorgan Chase & Co. from 1997 through 2003. Prior thereto, he served as Chief Executive Officer of Texas Commerce Bank's statewide organization after it was purchased by JPMorgan Chase. Mr. Shapiro is currently a member of the board of trustees for Rice University and the board of advisors of the James A. Baker III Institute for Public Policy at Rice University. Precious W. Owodunni is president of Mountaintop Consulting, a business strategy and branding company that serves leading corporations and financial services, law, and private equity firms. Prior to establishing Mountaintop, Ms. Owodunni was a vice president at Goldman, Sachs & Co., where she made private equity investments in high growth businesses and served on the board of several portfolio companies. Ms. Owodunni began her Goldman career as an investment banker in the Mergers & Strategic Advisory Group, advising energy, retail, and industrial companies on M&A and corporate finance transactions. Valerie Toalson is Chief Financial Officer and President - Banking Services of Cadence Bank. Having joined Cadence in January 2013, she brings 35 years of banking experience in finance, accounting, treasury, investments, risk, mergers and acquisitions, strategic planning, investor relations, and public entity and regulatory financial reporting.
Prior to joining Cadence, Ms. Toalson served as CFO of BankAtlantic Bancorp and BankAtlantic N.A., and previously held several senior leadership positions at BOK Financial Corporation, including Corporate Controller, Manager of Credit Services, Manager of Process Improvement and Chief Auditor. Toalson began her career in audit at Price Waterhouse, where she received her certified public accounting certificate.
Ms. Toalson earned a Bachelor of Science in Accounting from Oklahoma State University. She is an active volunteer in her community, including serving on the board of Goodwill Industries of Houston and the advisory council of the Women's Resource of Greater Houston.

Virginia A. Hepner served as a director of State Bank Financial Corporation from September 2010 until it merged with Cadence on January 1, 2019. Ms. Hepner served as the President and Chief Executive Officer of The Woodruff Arts Center from 2012 until her retirement in July 2017. Before joining The Woodruff Arts Center, Ms. Hepner was a business consultant with DMI, Inc., an entertainment and music marketing company, from 2011 until 2012. She serves on the boards of directors of Oxford Industries, Inc., a publicly traded lifestyle brands retailer, and National Vision Holdings, Inc., a publicly traded optical retailer. Ms. Hepner has more than 25 years of corporate banking experience with Wachovia Bank and its predecessors.
