ADAM DECKER

Adam earned a B.A. from Brigham Young University in 2012 and a J.D. from The University of Chicago Law School in 2016. While in law school, he worked part-time at an office REIT and was a finalist in the Booth School of Business's Social New Venture Challenge. Adam is fluent in Spanish and has lived and worked in Spain. Prior to joining GAILLE PLLC, Adam worked for several years as an associate at Vinson & Elkins LLP and Sidley Austin LLP, where he represented private equity funds and developers in connection with joint ventures and the acquisition, disposition, financing, development, and operation of energy, infrastructure, and real estate assets. Adam is admitted to practice law in the States of Texas and California.

BAILEY SWAINSTON

Bailey received his J.D. from The University of Chicago Law School. While there, Bailey worked in the Kirkland and Ellis Corporate Lab as a Student Director, leading teams of students to complete contract drafting and legal research for several companies. He also served as the Research Assistant for Professor Emily Buss. At the Law School, Bailey was elected Vice President of the Business Law Society and of the Dallin H. Oaks Society. Bailey received his B.S. in Accounting cum laude from the Marriott School of Business at Brigham Young University in 2019. While an undergraduate student, Bailey worked as a teacher's assistant in the experiential learning program, where he led teams of students in solving business problems for companies spanning from startups to the Fortune 500. He also was elected to the Marriott School of Business Student Council. After his freshman year, Bailey completed a two-year service mission for the Church of Jesus Christ of Latter-day Saints in the Midwest.

LUKE RIEL

Luke earned his Doctor of Law from The University of Chicago Law School. Among other pursuits at the Law School, he worked as a Law Fellow for the Cicero Institute, drafting model legislation. Prior to joining GAILLE PLLC, Luke was an Associate at Simpson Thacher & Bartlett LLP, where he represented private equity funds in connection with fund formation and restructuring and banks in connection with energy sector debt matters. Luke completed his undergraduate studies at Rice University, where he earned a Bachelor of Arts in Philosophy. Rice University awarded him the James Street Fulton Prize for Excellence in Philosophy, which is given annually to the graduating senior whose overall record demonstrates the highest levels of achievement in the field of philosophy. Between Rice University and The University of Chicago, Luke also spent two years studying philosophy in the University of Notre Dame's doctoral program. Luke is an enthusiast of the chess variant Crazyhouse and is in the top 200 Crazyhouse players in the world.

SCOTT GAILLE - CEO

Scott's legal practice focuses on representing clients in domestic and international energy transactions and serving as outside general counsel to energy companies. His scope of representation includes pipeline and facilities procurement & construction, domestic and international exploration and production, gathering, and pipeline matters, acquisitions, project development transactions, private equity investments, joint ventures, and startups. Scott also serves as a certified mediator in disputes involving energy projects. Mr. Gaille has been a Lecturer in Law at The University of Chicago Law School since 2013, where he teaches the Energy Law Seminar and the Energy Transactions Seminar. He also was an Adjunct Professor of Management at Rice University from 2008-2022, where he taught International Energy Development and Energy Infrastructure courses to MBA students. Scott is routinely retained by leading energy companies around the world to teach versions of his energy courses to private audiences. As a thought leader on matters of energy law, Scott has authored three energy textbooks and eight peer-reviewed articles in the Energy Law Journal. Prior to starting GAILLE PLLC, Mr. Gaille served as the Chief Compliance Officer, General Counsel & Corporate Secretary for a NASDAQ-listed exploration and production company focused on developing shale formations in Texas and Europe. As its chief legal officer, he was responsible for the corporation's transactional, litigation, securities, and regulatory matters. Scott also acted as the lead negotiator of the corporation's many transactions, including its joint ventures with EOG Resources, Hess Corporation, and Michael Dell's family office, MSD Capital. Mr. Gaille's international experience includes: (i) running a private equity-backed energy company in Africa and (ii) six years at Occidental Oil & Gas Corporation's international business development unit, where (as Director - Business Development) he originated transactions in Africa, the Middle East, and South America. Prior to joining Oxy's legal department in 2001, Scott practiced law with the Energy Section of Vinson & Elkins and was a judicial clerk to the Honorable Chief Judge J. Harvie Wilkinson, III of the United States Court of Appeals for the 4th Circuit. Mr. Gaille was an Olin Fellow in Law and Economics at The University of Chicago Law School, where he received his Doctor of Law Degree with High Honors in 1995. He was elected to Order of the Coif and to The University of Chicago Law Review and served as Executive Editor of the Harvard Journal of Law & Public Policy (Vol. 18, No. 2). Through various economic workshops at The University of Chicago, Scott participated in the analysis of certain issues with Nobel Laureates Ronald Coase and Gary Becker, and worked as a research assistant to The Honorable Judge Richard Posner of the United States Court of Appeals for the 7th Circuit. Mr. Gaille attended undergraduate college at The University of Texas at Austin, where he earned a Bachelor of Arts degree in Government with High Honors and was elected to Phi Beta Kappa. Mr. Gaille also is a certified mediator, receiving his mediator certification from the South Texas College of Law Houston. Scott serves on the Board of Trustees for the Houston Grand Opera and is a Life Member of the National Eagle Scout Association. Having traveled to more than 150 countries (Traveler's Century Club) and lived in Dubai, United Arab Emirates for three years, Mr. Gaille has built business relationships with a culturally diverse range of partners from around the globe. SCOTTOW "SCOTT" KING

Mr. King's practice focuses on representing clients in domestic and international energy transactions and serving as outside general counsel to energy companies. Scott previously served for fourteen years as Vice President, General Counsel, and Secretary of Occidental Chemical Corporation. Scott was also segment compliance officer for Occidental Petroleum Corporation's chemical segment from 2001-2015. Prior to becoming the GC at OxyChem, he was Assistant General Counsel for Occidental Petroleum Corporation. During his time at Oxy and OxyChem, Mr. King led and managed more than a dozen billion dollar transactions. Immediately prior to joining Oxy's legal department, he practiced law with Perkins Coie. Scott's hands-on transactional practice has spanned M&A, corporate, commercial, securities, finance, IP, antitrust counseling, environmental, bankruptcy, labor and employment, and litigation management. Mr. King received his Juris Doctor from New York University School of Law, where he was a Finalist in the Moot Court Competition. Scott attended undergraduate college at Yale, graduating with a Bachelor of Arts in English. At Yale, he received the DuPuy Prize for Scholarship for his senior thesis, served on the editorial board of the Yale Daily News, lettered on the Freshman Heavyweight Crew, and was elected as the Pierson College representative to the Yale College Council. Scott attended Episcopal High School in Alexandria, Virginia, where he was nominated for a Morehead Scholarship at UNC-CH and qualified as a National Merit Finalist.

TANNER HARRIS

Tanner's practice focuses on energy construction and services matters, including representation of matters in the wind, solar, pipeline, carbon capture, battery storage, refinery, tunnel, LNG, nuclear, and oilfield services sectors. He also advises the boards and executive teams of private companies on a variety of corporate governance and commercial matters. Biography Tanner received his J.D. with Honors from The University of Chicago Law School. At the Law School, Tanner completed the Doctoroff Business Leadership Program, a unique course of study combining business and law courses with co-curricular experiential opportunities in business, business law, and entrepreneurship. He spent both law school summers at the Houston offices of Vinson & Elkins LLP in the firm's corporate practice groups. Tanner received a B.S. in Strategic Management from the Marriott School of Business at Brigham Young University. While an undergraduate student, he was a partner at Campus Founders Fund (a student-run venture fund affiliated with Kickstart Seed Fund) and worked for Sunroc Construction as a fuel and lube technician performing field maintenance on heavy earthmoving equipment. Prior to his undergraduate study, Tanner worked for FMC Technologies (now TechnipFMC) as a wireline operator and for Halliburton as a hydraulic fracturing service operator in the Denver-Julesburg (DJ) Basin. Tanner has over 6,700 hours of oilfield experience including wiring and rebuilding perforation tools, supervising wellhead valve control teams, directing rig-up and rig-down operations, managing chemical inventories, operating cranes, blenders, gellers, sand-moving equipment, and high-pressure hydraulic "horsepower" pumps, and driving a wide variety of Class A and Class B commercial vehicles transporting hazardous materials and oilfield equipment.

Walter Daniel

Walter's legal practice focuses on representing clients in energy transactions, mergers and acquisitions, joint ventures, and engineering, procurement and construction ("EPC") projects, and serving as general counsel to oil and gas, nuclear decommissioning, and engineering companies. Fluent in Russian, Walter is a Texas lawyer and an English Solicitor and has lived and worked for both international law firms and as in-house counsel in the USA, Russia, UAE, Libya and Kazakhstan. Walter currently serves as embedded project counsel for the contractor on the San Onofre Nuclear Generating Station (SONGS) decommissioning project. Prior to joining GAILLE PLLC, Walter served as Vice President of Paradox Resources, a company engaged in the development, transportation, and processing of helium and hydrocarbon resources in the Four Corners region of the United States, where he was responsible for Paradox's legal matters. From 2016 to 2020, Walter was the Vice President and General Counsel of Stewart Engineers, a world leader in architectural, appliance and automotive glass manufacturing and coating technology. Over the period 2007 - 2016 Walter lived in Almaty, Kazakhstan, where he worked for international law firms and was recognized as a leading lawyer in: Chambers Asia Pacific 2016 for "great experience in the areas of M&A and private equity"; Chambers Global 2015 and Chambers Asia Pacific 2015 for corporate and finance, with clients citing his "broad professional expertise, communication skills and immense work ethic. [Walter] earns particular recognition for his international experience"; and Legal 500 EMEA 2016 legal market overview for Kazakhstan: "Texas and England-qualified Walter Daniel . . . does a great job of looking out for client's interests . . . his leadership, presence and language skills are instrumental". WILL BRUMFIELD

Will's practice focuses on energy construction and services matters, including serving as project counsel for solar, wind, pipeline, refinery, tunnel, and LNG projects. Will was a Cafaro Scholar at The University of Chicago Law School, where he earned his Doctor of Law Degree in 2016. Will received a full tuition scholarship for all three years of law school courtesy of Debra Cafaro (Chairman and CEO of Ventas, Inc., a member of the S&P 500). During his time at The University of Chicago Law School, Will worked in the Kirkland & Ellis Corporate Lab, serving Fortune 500 companies as well as local nonprofits. He was named first runner-up in the Kirkland & Ellis 2014 Transactional Challenge, surpassing 100 other competitors in the Challenge's drafting exercises. Will received his Bachelor of Arts degree in French with Highest Honors from Southeastern Louisiana University in 2012, where he won the Outstanding Graduating Senior Award for Academic Excellence. He is proficient in French with working knowledge of Portuguese.
