Aya Yoffe is the managing partner of Gross & Co., and specializes in corporate law, securities and finance. Aya has extensive experience in raising public and private capital and debt, financing transactions, mergers and acquisitions and in providing ongoing advice and support to public companies, boards of directors and independent committees. In addition, Aya specializes in representing companies and creditors in debt settlements and insolvency proceedings.
Aya joined Gross & Co. in 1993 and became a partner in 1999.

Adv. Bar Avital specializes in securities law and corporate law, and provides ongoing advice to corporations on various aspects of securities law, corporate law, and corporate governance. Attorney Daniel Amital joined the Gross & Co. Law Firm in 2022 as an associate specializing in Corporate, Banking, Capital market, and Securities law in the Department of Banking Law of Gross & Co. Law Firm.
Before joining the firm, and during 2016-2022, Attorney Amital served at The Military Advocate General's corps and practiced international law, administrative constitutional law, planning and zoning law, and criminal law.

Esther regularly counsels and advises major Israeli concerns in connection with their corporate and securities law issues, mergers and acquisitions and securities offerings. Esther is a licensed C.P.A. and is frequently consulted by clients on the legal implications and structuring of tax driven transactions.
Additionally, Esther is a lecturer at the Israeli Bar Association and teaches in courses for directors and officers at the Tel Aviv University. She previously served as a member of the advisory board of the Bank of Israel, and of the Public Committee for Government Housing Assistance.

Adv. Ido Amir joined Gross & Co. as an associate in 2014, and became a partner in 2018.
Ido's practice focuses on Digital Banking and Payments. Ido advises banks and other financial institutions in the fields of digital banking, financial products, payments, with a unique focus on financial regulatory aspects and commercial aspects.

Moshe Ganot focuses his practice on mergers and acquisitions, corporate law, capital markets, corporate governance, corporate finance and commercial transactions.
Moshe has extensive experience in various domestic and cross-border M&A transactions, representing both Israeli and international clients and has advised over the years on many complex and high-profile transactions in the Israeli market.
Moshe advises Israeli large scale corporations on a wide variety of corporate and securities matters (including, corporate governance, D&O fiduciary duties, independent committees on going-private transactions, shareholders agreements, tender offers, asset purchase agreements, corporate reorganization, capital raisings, dividends and capital reduction, ESOPs and executive compensation) as well on matters relating to distribution agreements, business partnerships and joint venture transactions.

Perry Wildes concentrates his practice in the area of corporate and securities law, with an emphasis on public and private capital raising transactions and cross border transactions.
Perry advises Israeli companies registered with the U.S. Securities and Exchange Commission (SEC) on compliance with their securities law and stock exchange disclosure obligations and corporate governance issues. Perry also represents companies and underwriters in public and private finance transactions, including IPO's, SPAC's, follow-on public offerings, PIPES, overseas offerings and other private offerings.
Perry also represents both Israeli and foreign buyers and sellers in public and private merger and acquisition transactions and other cross-border transactions. Perry's experience includes representation of foreign companies in their investments in Israeli companies.
Perry's practice also includes representation of tax-exempt organizations and their founders, donors and board members, including foreign citizens and international organizations operating in Israel.
Perry joined Gross & Co. in 2001 after practicing law in leading law firms in New York.
Prof. David Hahn is a prominent expert on insolvency law, secured transactions and corporate law. Prof. Hahn served as the Guardian General and the Official Receiver of Israel. Previously, he was retained as an academic counsel to the Attorney General for insolvency law. Prof. Hahn was also a member of the audit committee in the liquidation case of the Trade bank.
During his tenure as the Official Receiver, Prof. Hahn served as the liquidator of the Israel Broadcasting Authority (IBA) - the largest and state owned media entity in the country. Prof. Hahn managed the IBA's operations and broadcastings, which lasted three years, until their termination. Additionally, in his capacity as the Official Receiver, Prof. Hahn monitored and accompanied the largest debt and recovery arrangements in the market, including ‘Hadassah' medical center, IDB and Elbit Imaging.
As the Official Receiver of Israel, Prof. Hahn spearheaded and advanced the introduction of The Insolvency and Economic Rehabilitation Bill, in collaboration with the Attorney General's office. In 2018 this bill was enacted into law, replacing old British Mandate legislation. Previously, he conceived and executed the Reform in Practicing Individual Bankruptcy Cases, which created timelines for all individual bankruptcy cases and promoted the discharge for such debtors in order to facilitate a fresh start in their lives.
Prof. Hahn has served for many years as an advisor to many large corporations in Israel's capital market on various issues associated with corporate and insolvency law, including matters of corporate governance, mergers and acquisitions, liquidation, reorganization, receivership, debt arrangements, corporate bonds, dividend distributions, and more.
During his years in the Government, Prof. Hahn has worked to improve and make the public service accessible to the citizens by developing and implementing online systems, as well as shortening and expediting bureaucratic procedures relating to rights of debtors and creditors, issuing inheritance orders and the probation of wills.
Professor Hahn serves as a member in the leading international organizations specializing in insolvency, namely the International Insolvency Institute (III) and INSOL International.
Recently, Prof. Hahn was appointed by the Israel Securities Authority (ISA) to prepare a special report on cross-border insolvency aspects of foreign corporations that offer bonds on the Tel-Aviv Stock Exchange.
In 2017, Prof. Hahn was a lead nominee for Justice of the Supreme Court of Israel.
Prof. Hahn is a Faculty Member at Bar-Ilan University Faculty of Law, and frequently publishes academic papers on various subjects. Among his notable publications are the book The Law of Insolvency (2018), "The Liability of Directors upon the Insolvency of a Corporation under the New Israeli Insolvency Act" (forthcoming, 2020, Hebrew), "Concentrated Ownership and the Control of Corporate Reorganizations", 4 J. Rona Bergman Naveh leads the Corporate and Project Finance team, and specializes in finance transactions and large, complex transactions which may include joint ventures for the purpose of acquisition, M&A, corporate law, financial arrangements, and competition law.
Rona has been involved in mergers and acquisitions for a range of clients and advises Israeli companies in connection with securities offerings, both in Israel and abroad.
Together with her team, she provides support to all the departments of Gross & Co. in these practice areas.
Rona joined Gross & Co. in 1996 and became a partner in 2000.
Shay represents Israeli and foreign companies in investment transactions, acquisition and merger transactions of private and public corporations as well as in a wide range of corporate matters, including related party transactions, executive compensation, and fiduciary duties of directors and officers. He also has extensive experience in various aspects related to raising capital and debt in Israel, including initial IPOs and secondary IPOs, as well as the overall aspects of capital market law.
Shirley Avner is a partner in the firm's litigation department.
Shirley specializes in commercial and civil litigation and handles large and complex dispute proceedings in various courts and arbitrations.
Shirley has extensive experience handling a variety of litigation areas, including contractual disputes, disputes between shareholders, lawsuits against directors and officers, class actions, and personal/family disputes in combination with commercial matters.
Before joining our firm, Shirley worked as a lawyer at the Nehushtan Yogev & Co. Law Office for about a decade (initially as part of the Nehushtan, Zafran, Scharf,Yafe & Co., Law Office). Shmulik frequently represents clients across a full range of activity in corporate and commercial law. Adv. Wanda Feinberg is a partner at Gross & Co. that specializes in various areas of commercial law.

Adv. Yaron Herman, a senior partner at Gross & Co. has more than 31 years of experience as an active lawyer and served as the chairman of the Corporate Committee of the Israeli Bar Association.
Adv. Herman specializes in complex transactions and has unique expertise in corporate law and in providing strategic legal counsel to corporations, including corporate governance, accompanying legal proceedings and litigation, re-organization, ownership changes, planning structural and intra-organizational changes. Adv. Herman accompanies companies during IPO's and any going public procedures, throughout their day-to-day activity, as well as advises leading private corporations in their respective fields.
Adv. Herman has extensive experience in regulation and administrative law and is a leader in the field of communications law (Telecom).
