With over 30 years of experience in securities law, Mr. Adler has focused his practice on securities regulation and compliance-public and private equity and debt offerings, related federal and state matters, mergers and acquisitions, including reverse mergers, venture capital financing, and corporate law and governance. Mr. Adler has extensive experience in representing issuers and investment banking firms in public and private securities offerings, as well as buyers, sellers and financial advisors in a variety of transactions involving public and private business combinations. He represents a cross-section of clients, including broker-dealers who function as underwriters and placement agents, traditional manufacturers, software developers and technology companies, and is also regularly consulted for pre-public offering advice. He works with his placement agent and underwriting clients in all aspects of the due diligence process prior to conducting offerings as well as working with corporate clients-both public and private-on all aspects of due diligence related to mergers and acquisitions. Mr. Adler's experience prior to entering private practice was serving as an Assistant Attorney General of the State of New York in the Bureau of Securities and Real Estate Financing and Special Counsel to the New York Stock Exchange. Mr. Adler currently serves as a member of the Board of Directors of the National Investment Banking Association, a not-for-profit corporation, which serves as an association for national, regional and independent broker-dealers, investment banking firms, investment advisors and related capital market service providers. Ronnie L. Silverberg

Ms. Silverberg's areas of concentration include business and commercial litigation, counseling on general corporate issues and drafting and negotiating transactional documents, including buy-sell agreements, limited liability company related documents and dissolution agreements. She has a specialty in employment-related matters, including negotiating, drafting and litigating employment, consulting and independent contractor agreements, litigating and negotiating disputes involving restrictive covenants and confidentiality agreements, discrimination, harassment and wrongful discharge; she also counsels small and medium-sized businesses on employment issues together with drafting employee manuals and policies. Ms. Silverberg also litigates securities, trust and estate, and real estate matters. She negotiates and drafts premarital agreements, and settlement agreements for individuals terminating personal relationships; she also handles second/step parent adoptions. Her practice also regularly provides strategic counseling in negotiating and mediating matters to avoid unproductive and costly litigation. She is admitted to practice in the State of New York, U.S. District Courts for the Southern and Eastern Districts of New York and Second U.S. Circuit Court of Appeals. Ms. Silverberg serves on the Board of Trustees of the Anthology Film Archives. She also actively participates as a Volunteer Representative for 31 Jane Street Tenants Corp., Community Affairs.
