David H. Cooper

David Cooper joined Commonwealth Counsel Group PLLC as Of Counsel in 2023. His practice focuses on general corporate law, mergers and acquisitions (M&A), intellectual property and high-stakes business transactions. Previously, Mr. Cooper was a partner at Roth & Cooper, P.S.C.; a partner at Goldberg Simpson LLC; served as a senior counsel at Louisville Gas & Electric Company (PPL Corporation); and since 2012 has been a sole practitioner as the Law Office of David H. Cooper. Earlier in his career, Mr. Cooper owned and operated seven businesses (wholesale distribution; industrial construction; specialty manufacturing; and steel fabrication). As an entrepreneur, he has participated in a wide variety of investments and ventures. Dayton N. Blair

Dayton Blair joined CCG in 2023 after serving as a law clerk. As an associate, Dayton works closely with the firm's Litigation teams as well as assists in corporate and real estate matters. Prior to joining CCG, Dayton attended the University of Louisville School of Law, where he was a member of the the Arbitration Moot Court Team. Gregory A. Healey

Greg Healey earned his Juris Doctor from the University of Louisville Brandies School of Law, graduating cum laude and earning the CALI Award for Future Excellence in Trademark Law and Entrepreneurship Law Clinic having attained the highest student grade in those subjects. During law school, Greg worked as a judicial extern for the Honorable McKay Chauvin at the Jefferson County Circuit Court, and participated in the school's Entrepreneurship Law Clinic where he advised a bourbon industry start up on a variety of issues including formation, licensing and corporate governance matters. Jack L. Richardson, IV

Jack Richardson, IV was admitted to the Kentucky Bar in 1980 and to the United States District Court for both the Eastern and Western Districts of Kentucky in 1984 and 1985 respectively. He was also admitted to the United States Court of Appeals, Sixth District in 1988 and has argued cases before the Kentucky Supreme Court. Having practiced law in Kentucky for 37 years, Jack has extensive litigation and appellate experience including corporate and business, estate planning, high asset divorce and worker's compensation defense. Jack is well known in the community and among the bar for his extensive and high profile civic and community activities, as well as his service as a board member for several charitable organizations. Jack also donates 100 pro bono hours a year to the Metro Christian Legal Aid. Jason M. Nemes

Jason Nemes represents businesses and individuals in a variety of litigation and regulatory matters. Mr. Nemes has represented businesses in everything from complex bet-the-company litigation to simple license applications. From healthcare and employment law to breach of contract suits, he has a vast array of trial experience in courts all across Kentucky. Mr. Nemes also regularly appears before Kentucky administrative bodies representing companies seeking certificates of need in the Cabinet for Health and Family Services, judges before the Judicial Conduct Commission, attorneys before the Kentucky Bar Association, physicians before the Kentucky Board of Medical Licensure, nurses before the Kentucky Board of Nursing and retail stores before the Alcohol Beverage Control Board, among others. Mr. Nemes also has substantial election law experience representing boards of elections, candidates, voters, and political action committees in the Kentucky Supreme Court, federal and state courts of appeals, federal and state trial courts, and the Registry of Election Finance. Mr. Nemes has received numerous accolades. He has been recognized as a Super Lawyers Rising Star in 2013 and 2014 and included in the Kentucky Super Lawyers list in the field of Business Litigation since 2015. Prior to joining Commonwealth Counsel Group, Mr. Nemes practiced law in a large, multi-state law firm. In addition to practicing law, Mr. Nemes represents eastern Jefferson County, south Oldham County and northwest Shelby County, in the Kentucky House of Representatives. In that capacity, Jason is in House leadership being elected by his colleagues to be the majority party's Whip. He also serves on the Judiciary Committee, the Rules Committee and on the Committee on Committees. Mr. Nemes has served as an adjunct professor teaching courses in Constitutional Practice at the University of Louisville Brandeis School of Law. He also regularly presents at the Kentucky Bar Association Convention, where, among other things, he leads an annual discussion about important cases from Kentucky's appellate courts. Prior to entering private practice, Mr. Nemes served as the Chief of Staff to the Office of the Kentucky Supreme Court Chief Justice, Joseph E. Lambert and as the Director of the Administrative Office of the Courts, which is the highest unelected position in the Kentucky Court of Justice. In those positions, he oversaw a $350 million budget and managed over 3,000 employees in all 120 Kentucky counties. In law school Mr. Nemes graduated with high honors and participated as a member of the University of Louisville Law Review and the coveted National Moot Court Team. Prior to law school he attended Western Kentucky University, where he was a member of the Phi Delta Theta fraternity and participated in numerous social and academic student organizations. Jonathan H. Matthews

Jonathan Matthews has extensive litigation, arbitration, and counseling experience involving a wide range commercial disputes, including matters arising from breach of contract, fraud, trade secret appropriation, breach of fiduciary duty, professional negligence and products liability, among other areas. Mr. Matthews has represented local and national clients in state and federal actions through all phases of court proceedings, discovery, pre-trial motions and trial. Mr. Matthews has substantial experience in corporate formation, contract formation, corporate reorganization/acquisition, succession planning and 8(a) Business Development Program qualification and compliance. Mr. Matthews' clients include technology companies, real estate developers, hospitals, start-up companies, other law firms, private companies, entrepreneurs and investors. Parker M. Wornall

Parker Wornall represents both corporate and individual clients in a variety of litigations, arbitrations, and administrative proceedings involving, among other areas: Fair Labor Standards Act (FLSA) and KY Wage & Hour collective action prosecution and defense; wrongful termination of employment cases, often including Title VII of the Civil Rights Act, Family and Medical Leave Act (FMLA), and Americans with Disabilities Act (ADA) (and state-law equivalents); litigation involving restrictive covenants (non-compete and non-solicitation) and trade secret misappropriation under the KY Uniform Trade Secrets Act and the Federal Defend Trade Secrets Act of 2016; licensure defense before state boards, such as the KY Board of Nursing (KBN) and KY Board of Medical Licensure (KBML); administrative hearings before the many subsets of the Cabinet for Health and Family Services (CHFS) and subsequent appellate petitions to circuit court, when necessary; and "whistleblower" actions. Mr. Wornall also helps his corporate clients avoid litigation by providing general counsel services such as business formation, contract drafting, and dispute resolution.
