Alejandro Vargas is Director of Corporate Development, responsible for leading growth, financing, and business development initiatives at Phoenix Tower International. Before joining PTI, Alejandro was a member and principal at GSA, a privately held investment firm focused on acquiring and growing small businesses. Prior to that, Alejandro was a Director of Corporate Development and Global Treasury at Mercon Corporation, a top 5 global coffee trading company based in Amsterdam. Alejandro began his career in the Investment Banking Division at Barclays Capital in New York. Alejandro received a BA in Economics from Colgate University. He earned an MBA from the Wharton School of Business at the University of Pennsylvania.

As the Director of Finance, Mr. Timms oversees Phoenix Tower International's treasury activities, financial planning, financial analysis, and finance operations across the US, Caribbean, and Latin America. His responsibilities include providing financial counsel to PTI leadership to maximize revenues and operating cash flows, building long term value and ensuring business strategies are executed effectively. Prior to joining Phoenix Tower International, Mr. Timms worked at Itaú Unibanco, the largest non-state controlled financial institution in Latin America, where he most recently led the corporate finance and FP&A team in New York, and previously was a Portfolio Specialist for the asset management group in São Paulo. He also held the position of Senior Strategic Planning Analyst for Companhia Nacional de Açúcar e Álcool, a private equity venture in the sugar and ethanol sector in Brazil that was sold to BP Biofuels for $680 million. Andrew began his career as an M&A Analyst for Energias Renováveis SA, also a private equity venture. Mr. Timms graduated with honors from the University of Texas at Austin with a Bachelor's Degree in Economics and Latin American Studies. He is also a CFA charter holder.

DAN GECHTMAN

Mr. Gechtman oversees all day-to-day operations of PTI's U.S. customer leasing and drives the Sales Department's strategic business plan across the nation. Mr. Gechtman is also President of SectorSite, a PTI company, and full service telecommunications services provider. Mr. Gechtman has over 20 years of experience in the build-out and development of wireless infrastructure and has expertise from site acquisition and land development to the integration and commissioning of sites on air. Mr. Gechtman brings skills and resources including contract negotiation, construction management, land development, and project management. Prior to joining Phoenix Tower International, Mr. Gechtman, was the Founder/Owner and President of SectorSite, LLC, a national communications site development company with a specialization in the development of full-turnkey site development and deployment of all major technologies.

EDWARD H. GONZALEZ

As the Director of Mergers and Acquisitions for Phoenix Tower International, Mr. Gonzalez provides comprehensive financial and strategic oversight of the acquisition of new businesses and wireless infrastructure assets across all of PTI's markets. Prior to serving as Director of M&A to Phoenix Tower International, Mr. Gonzalez served in the Strategy and Corporate Development team and Financial Controlling areas at Digicel Group, a wireless telecommunications operator in the Caribbean and South Pacific. While at Digicel, Mr. Gonzalez was a strategic member of the Digicel Play team where he performed in various Corporate Finance roles including leading inorganic growth initiatives, financial integrations, and group financial controller for the Cable, Media & Broadband and ICT business unit. Prior to working at Digicel, Mr. Gonzalez was a Manager in the Strategy and Corporate Development team at Schneider Electric, a Fortune 500 Industrial based out Paris, France, whereby Mr. Gonzalez led various M&A engagements for the IT Business Unit in regions such as Asia, North America, South America, Europe and India. In addition, Mr. Gonzalez has served several expatriate assignments having lived in various South American cities and most recently in the Caribbean and has led numerous M&A engagements ranging from $50m to over $1b. Mr. Gonzalez has a Bachelor of Business Administration with a focus in Finance and Economics from Florida International University, as well as a Master of Science in Finance degree from Florida International University.

FLAVIO SIQUEIRA

As Phoenix Tower International's Vice President of Mergers and Acquisitions, Mr. Siqueira oversees global M&A and Land Acquisitions. Prior to joining Phoenix Tower International, Mr. Siqueira was Senior Director of International Strategy and M&A for SBA Communications in Boca Raton, Florida, and he held various other senior development roles for SBA Communications in Brazil. Mr. Siqueira has also held senior leadership positions at OI Telecommunications and Starfish Oil and Gas in Brazil. Mr. Siqueira has extensive experience in business development strategy, mergers and acquisitions, and leadership of international teams. Mr. Siqueira holds a Master of Business Administration in Finance from IBMEC in Rio de Janeiro, a Master of Business Administration in Management from Fundação Getúlio Vargas, a Master's Degree in Project Finance from IBMEC, and a Bachelor of Science in Telecommunications Engineering from Universidade do Estado do Rio de Janeiro.

GUILHERME CADAR

As the Director of Tax, Mr. Cadar oversees Phoenix Tower International's tax strategy, structuring, and compliance, as well as supports deals and other M&A activities across the U.S., Latin America, the Caribbean, and Europe. His responsibilities include providing tax counsel to PTI's leadership to optimize tax efficiency and comply with filings, building long-term value and ensuring effective tax compliance in line with the execution of business strategies. Prior to joining Phoenix Tower International, Mr. Cadar worked at Yamana Gold, a Canadian-based precious metals producer with significant production, development, exploration properties, and land positions throughout the Americas, where he was the Director of Tax in their Toronto headquarters. He also held the position of Tax Manager at PricewaterhouseCoopers and he began his career as a Tax Analyst at Globo Network, the largest commercial media conglomerate in Latin America and the second-largest commercial TV network in the world. Mr. Cadar earned his Bachelor's Degree in Accounting from the Federal University of Rio de Janeiro, a Master of Laws in Corporate Law from the Instituto Brasileiro de Mercado de Capitais in Rio De Janeiro, and specializations in Transfer Pricing and International Tax from the Canadian Institute of Chartered Accountants in Toronto.

JENNIFER DURDEN

Ms. Durden directs all real estate management and marketing initiatives for Phoenix Tower International's third party-managed properties and facilitates system processes and training related to PTI's site management software. As director of real estate and systems administration, Ms. Durden develops and sustains relationships with commercial real estate asset owners to maximize revenue by effectively marketing their properties for the collocation of wireless infrastructure. She implemented and deployed the Siterra software and works in conjunction with all business units to develop, execute and document automated processes and procedures to enhance and improve operational efficiencies. Ms. Durden formerly held a director of real estate position at Global Tower Partners, where she was the key point of contact for executive level players with national real estate firms. She was accountable for marketing and managing real estate portfolios for 100+ property owners, consisting of 4,500+ rooftop, tower and DAS assets. Prior to her appointment at GTP, Ms. Durden managed all phases of corporate leasing, licensing, and service agreements for the owned and managed Hilton Hotels group nationwide portfolio, valued at $140M. She was responsible for maintaining existing relationships and developing new business opportunities with national and regional retailers to achieve net operating income objectives and maximize profitability. Ms. Durden has more than fifteen years of experience in commercial real estate and wireless telecommunications, which includes all aspects of contract negotiations, compliance and administration, the management of finance and accounting functions, new business development, software implementation, and telecommunications infrastructure. Ms. Durden graduated from American Intercontinental University with a Bachelor of Business degree in management. She is a member of Women's Wireless Leadership Forum as well as the following State Wireless Associations: California, Florida, Georgia, New Jersey, New York, New England North Carolina, South Carolina, Tennessee, and Texas.

JOSH WADE

As the United States General Counsel of Phoenix Tower International, Mr. Wade manages the legal and asset management aspects of the US business and other corporate governance and related administrative tasks for the Company. Prior to serving as US General Counsel to Phoenix Tower International, Mr. Wade served as General Counsel to Wireless Capital Partners ("WCP"), a national wireless lease and tower aggregator, as well as a real estate lawyer in the Los Angeles and New York City offices of the law firm, Duval & Stachenfeld LLP ("D&S"), which is one of the largest transactional real estate law groups in New York City. While at WCP, Mr. Wade was responsible for managing the legal and diligence portions of wireless leasing buy-outs, ultimately overseeing the diligence, acquisition, and asset management of hundreds of wireless lease buy-outs as well as overseeing the sale of two portfolios originated by WCP and other aspects of corporate governance. While at D&S, Mr. Wade represented large private equity groups in connection with their commercial real estate investments (including office, multi-family and hotels/resorts) as well as high-end retailers in connection with their retail leasing negotiations within large urban areas such as Los Angeles, New York, Miami and Las Vegas. Mr. Wade holds a Bachelor of Business Administration with a focus in Marketing from Western Michigan University, as well as a J.D. degree from Southwestern University in Los Angeles, where he served as a member of the Southwestern University Law Review. Mr. Wade is admitted to practice law in the State of California.

JUAN FERNANDO ACUÑA

As the Director of Next Generation Solutions, Mr. Acuña oversees PTI's Distributed Antenna System business and other state-of-the-art coverage solutions. Mr. Acuña joined PTI after the acquisition of FastSite, a neutral host leasing company focused on Distributed Antenna Systems and Capacity Solutions in Costa Rica and other countries throughout Latin America, where he was the Founder and CEO. Mr. Acuña positioned FastSite as the largest Distributed Antenna System owner and operator in Costa Rica, concluding the construction and operation of the biggest neutral host Distributed Antenna System in Central America. He also served as the General Manager of Global Tower Partners Costa Rica, later acquired by American Tower, where he managed a 600-tower portfolio for more than four years. Mr. Acuña earned a bachelor's degree in Business Administration from the University of Costa Rica, and began his career running his family business in the fiber optic, power cabling, and structured cabling industry for retail and construction businesses throughout Central America.

KELLY DAY

Ms. Day oversees Human Resources strategy across the U.S., Latin America, and Europe, and spearheads PTI's philanthropic efforts through the Wings Foundation. In this capacity, she is responsible for talent acquisition, training, engagement, benefits and compensation, employee relations, and employment law compliance across all markets. Ms. Day has extensive experience in all functional areas of Human Resources, as well as specialized experience in team building, performance coaching, employee development and engagement, and employment law compliance. Prior to joining PTI, Ms. Day supported both established and entrepreneurial ventures, providing guidance and leadership to senior leadership in startup, growth, and stabilization modes. Most recently, Ms. Day served in senior Human Resources leadership roles at the Fontainebleau Hotel and the City of Miami Beach, managing more than 2,000 employees in each. Ms. Day earned a dual Bachelor's Degree in Latin American Studies and Spanish from the University of Washington and a Master's Degree with honors in Public Administration from Florida International University. She holds the designation of Senior Professional in Human Resources (SPHR) from HRCI, Senior Certified Professional in Human Resources (SHRM-SCP), and is an active member of the Society for Human Resource Management.

Mrs. Hurd oversees the development and implementation of Asset Management strategies, systems and policies supporting lease-up initiatives, and ensures lease compliance for the company's portfolio. Mrs. Hurd has more than 20 years of commercial and corporate real estate experience. Prior to joining PTI, Mrs. Hurd provided advisory services to mid-size organizations through the various stages of the commercial real estate lifecycle. In addition, Mrs. Hurd has held strategic position in corporate and commercial real estate within DHL International, CBRE Group, and Office Depot. Mrs. Hurd graduated from Miami Dade College with a degree in Business Administration.

MAURICIO CAMPOS

As the Director of Information Technology, Mr. Campos oversees all aspects of PTI's technology strategy, including core business applications, infrastructure, development, and telecommunications. Mr. Campos brings over fifteen years of experience in the field of information technology. Before joining PTI, Mr. Campos held the position of Senior Global Information Technology Manager at Millicom International, where he was responsible for the organization's productivity tools, security and IT infrastructure, along with the implementation of large projects such as transforming the company's IT support culture to a self-service oriented culture, cloud technology implementation including the migration of datacenters, creating business intelligence platforms and the development of robotic automation processes. Mr. Campos has also held senior positions at Ricoh Latin America where he was focused on business transformation, Enterprise Resource Management systems, and he led the Information Security Management ISO 27001 certification. Mr. Campos graduated from Universidad Nacional de Costa Rica with a Bachelor of Science degree in Information Technology.

MICHAEL BREMER - CFO

As Chief Financial Officer, Mr. Bremer oversees strategic planning, financial reporting, accounting, tax and treasury for the company. Mr. Bremer previously held several executive positions at Discovery Inc. from 2007 to 2019, including EVP Corporate Finance, CFO International, and CFO/COO Latin America. During his tenure he contributed to the company's 2008 IPO, growing international EBITDA to over $1 billion, and the $15 billion acquisition and integration of Scripps Networks. Prior to Discovery, Mr. Bremer served as CFO International of Dean Foods Company from 1999 to 2007 leading the international expansion of a $10 billion CPG business, and as a consultant for Bain & Company from 1996 to 1999. Mr. Bremer holds a Master of Business Administration from the Wharton School at the University of Pennsylvania and a BA in Economics from Grinnell College.

MICHAEL SULLIVAN

Mr. Sullivan oversees Global land and rooftop right acquisitions, including negotiation, diligence, closing and recordation. In these cases, Phoenix Tower International acquires the right to revenue formerly paid by major wireless operators to land or building owners. Mr. Sullivan also leads PTI's multi-national land acquisition program throughout the Americas and Europe, including strategy, negotiation segregation sales efforts and marketing, interpretation of regional laws and regulations, process management, closings, and integration. Prior to his appointment at Phoenix Tower International, Mr. Sullivan specialized in new market penetration and sales. Throughout his career, he has sold a variety of specialty products and services across the United States and Latin America and worked closely with U.S. federal and state agencies (FDA, USDA, OSHA) to implement regulations and processes in the industrial food and beverage production and food safety industries. Mr. Sullivan is a graduate of Fairfield University with a Bachelor of Science degree in sales and marketing. He is currently based in Boca Raton, Florida.

Mr. Moras oversees the operations of Phoenix Tower International's assets across the United States, Central and South America, and the Caribbean. He is responsible for new site development, site maintenance, regulatory compliance, vendor management, engineering services and implementation of process and cost optimizing programs. He is also responsible for the IT needs of the company, including implementation of Siterra and Microsoft AX. In addition to other key corporate initiatives, Mr. Moras supports the sales and leasing team with collocations and the M&A process by overseeing physical due diligence. Prior to joining Phoenix Tower International, Mr. Moras was a principal with Morrison Hershfield Corporation (MHC) and the director of operations for the telecommunications division. In this role he was charged with the operational and financial management of a team of 75+ engineers, architects, project managers, construction managers, CAD designers, and support staff located in six offices engaged in the design and construction of wireless infrastructure facilities. Mr. Moras was responsible for the development of processes and resources, management of existing customers, and generation of new business. With over 14 years in the telecommunications industry, his knowledge ranges from tower engineering, cell site design, and construction management to project and program management. He has extensive experience providing technical due diligence services for acquisitions and acted as Morrison Hershfield's lead technical advisor for several initiatives involving projects in the U.S., Latin America, and Europe. Mr. Moras graduated from McGill University and holds a bachelor's degree in civil engineering as well as a master's degree in structural engineering.

TIM CULVER - Chairman

As Phoenix Tower International's executive chairman and a member of the board of directors, Mr. Culver advises the CEO and board in all strategic mergers and acquisitions and financing transactions. Mr. Culver was previously the general counsel and senior legal advisor for Global Tower Partners from the time of its founding to its sale. Mr. Culver, along with Mr. Kasavana and other GTP team members, completed multiple bank and bond financings and strategic M&A. Furthermore, Mr. Culver and Mr. Kasavana oversaw the international expansion of GTP. Prior to his appointment at GTP, Mr. Culver was a partner in the real estate department of Edwards & Angell, LLP. Mr. Culver is a graduate of Northeastern University School of Law and Macalester College. He is a licensed attorney in New York and Massachusetts.

TIMOTHY SHAY

As Corporate Controller, Mr. Shay is responsible for Phoenix Tower International's accounting operations across the US, Caribbean, and Latin America. His responsibilities include overseeing the company's financial statements, general ledger, cost accounting, payroll, accounts payable, accounts receivable, budgeting, tax compliance, and accounting analysis. Prior to joining PTI, he served as Assistant Controller and Senior Director of Financial Planning and Analysis at ADT Security Services. Before ADT, he was with Tyco International where he held various controllership and financial planning roles. Earlier in his career, Mr. Shay was with the audit practice of Arthur Andersen. Mr. Shay holds a bachelor's degree in finance from the University of Florida and an MBA from Florida Atlantic University. He is also a licensed CPA in the State of Florida.
