Caroline K. Kwak

Caroline K. Kwak practices in the areas of business and commercial law, with a concentration in complex commercial disputes and corporate transactions. Ms. Kwak has extensive litigation experience in areas including enforcement of contracts, real property, partnership disputes and divorces, post-judgment litigation, and uniform commercial code. She has litigated cases at all levels including the U.S. Supreme Court. As a compliment to her corporate practice, Ms. Kwak's commercial transactions practice includes representing and advising businesses in relation to mergers and acquisitions, commercial lending transactions, and strategic business planning. Ms. Kwak is a member of the American Bar Association, the Chicago Bar Association, and the National Asian Pacific American Bar Association. She also sits on the Alumni Board of Governors and the Dean's Diversity Committee for Loyola University Chicago School of Law. Ms. Kwak was selected to the Illinois Super Lawyers® Rising Stars list in 2016, 2018, and 2019. The Rising Stars list recognizes the top 2.5 percent of attorneys under the age of 40 in each state.

Daniel B. Spitzer

Daniel B. Spitzer regularly advises clients throughout greater Los Angeles regarding business litigation and commercial transactions. Areas of concentration include insurance coverage, professional liability, business torts and contractual disputes; disputes among partners, shareholders, and members of business entities; secured transactions; and commercial collections, bankruptcy, and other insolvency matters. Mr. Spitzer also carries on a wide-ranging real property practice in areas such as development and construction, mechanics' liens and stop notices, condominium practice, commercial leasing, housing discrimination, broker liability, and disclosure issues. Mr. Spitzer conducts litigation matters at all levels of CaliforniaState courts, as well as in the U.S. District Courts, U.S. Bankruptcy Courts, and a variety of administrative settings. Mr. Spitzer was admitted to practice in California in 1985, and has since been admitted pro hac vice before courts in Arizona and Nevada, as well as before the U.S. Supreme Court. Mr. Spitzer received his J.D. from UCLA School of Law in 1985. He received his undergraduate degree, summa cum laude, and a masters degree in Comparative Literature, from UCLA. During his graduate years, Mr. Spitzer, who is fluent in Hebrew, was a Charles Brown Visiting Scholar at the HebrewUniversity in Jerusalem. Mr. Spitzer also holds a certificate from Pepperdine University School of Law in mediation practice. Mr. Spitzer has been involved in a number of high-profile cases. Among others, see the U.S. Bankruptcy Court's decision in In re Bosse, 122 B. R. 410 (Bankr.C.D. Cal. 1990); and the California Court of Appeals decisions in Okrand v. City of Los Angeles (1989) 207 Cal.App.3d 566, Leasequip vs. Dapeer (2002) 103 Cal. App. 4 th 394, and Lynn Doe vs. Elizabeth Luster (2006) 145 Cal. App. 4th 139. At UCLA, Mr. Spitzer published Contra Goff: Of Retirement Trusts and Bankruptcy Code Section 541(c)(2), 32 UCLA Law Review 1266 (1985). Since that time, Mr. Spitzer has authored articles on unlawful detainer practice, updates to the Bankruptcy Code, and developments in California real property law. In 2006, Mr. Spitzer was a featured contributor (with a chapter entitled, "Beyond a Reasonable Order") to Larry King's book, Beyond a Reasonable Doubt. Since 2000, Mr. Spitzer has been a member of the Los Angeles County Superior Court's civil mediation panel, and has an active private practice mediating a variety of civil and business disputes. He is an active member of the Community Associations Institute, Los Angeles County Bar Association, and San Fernando Valley Bar Association, and has held a number of positions with Valley Beth Shalom Synagogue and the Jewish Federation-Council of Greater Los Angeles. In 2000, Mr. Spitzer was honored by the Los Angeles Bureau of Jewish Education for his years of work with youth and in Israel education.

George Boychuk

George Boychuk regularly advises clients on corporate matters. Areas of practice include employment matters, mergers and acquisitions, commercial transactions, corporate governance, private placements, hedge funds, securities law and regulations, international transactions, venture capital and joint ventures. Mr. Boychuk received his Juris Doctor degree from the University of California at Los Angeles School of Law, with Order of the Coif honors. He received his undergraduate degree in philosophy from Princeton University. He is admitted to practice in the State of New York. Mr. Boychuk published "Anticipated Impact of Proposed Sarbanes-Oxley Audit Committee Rules," Securities Regulatory Update, vol. 6, issue 4, 2003. He also has taught some sessions on the impact of Sarbanes-Oxley on non-U.S. issuers as well as Sarbanes-Oxley developments. He is fluent in Ukranian.

Jon Siegel - COO

Jon Siegel is an experienced business executive with functional expertise in marketing, finance, operations, distribution, branding, strategy and business development. Jon spent over a decade working in the entertainment industry for such companies as Paramount, Disney and PBS. Recently, he has been working with a number of start-ups in a variety of industries. Jon has an MBA from UCLA Anderson where he concentrated in Entrepreneurial Studies / Entertainment Management and a BA from Pomona College where he majored in Philosophy with a minor in Mathematics.

Michael S. Loeffler - President

Mr. Loeffler is frequently called on to investigate financial fraud matters. He has audited financial institutions around the world for security compliance, risk management, fraud issues, and money laundering procedures. He assisted the government of the Turks & Caicos Islands in its prosecution of the country's first nondrug-related money laundering trial. He has also frequently worked with the FBI and Secret Service to investigate and prosecute financial fraud claims. Michael is an associate member of the Association of Certified Fraud Examiners. Mr. Loeffler's practice also involves the defense of certain professionals, including attorneys, bank directors, accountants, real estate agents/brokers, insurance agents/brokers, adjusters, actuaries, architects, and engineers. He regularly handles matters relating to failed financial institutions, including claims against directors and officers or their insurers. He has also defended numerous class action lawsuits brought under the Fair Debt Collection Practices Act and is a frequent speaker and author regarding the FDCPA. In addition, Mr. Loeffler is a National Football League Players Association Certified Contract Advisor and a Registered Athlete Agent in numerous states. Mr. Loeffler received his Juris Doctor degree from the University of California at Los Angeles School of Law in 1985. He received his undergraduate degree in finance from the University of Illinois in 1981. Mr. Loeffler is admitted to practice before the U.S. Supreme Court, the U.S. Courts of Appeals for the Third, Seventh and Tenth Circuits, the U.S. District Court for the Northern District of Illinois, the U.S. District Court of Michigan, the U.S. District Court of Colorado, the U.S. District Court, Central District of Illinois, and the Illinois Supreme Court. Mr. Loeffler is a member of the American Bar Association, the Chicago Bar Association, the Professional Liability Underwriting Society, the Association of Certified Fraud Examiners, and the Chicago Council on Global Affairs.
