Mr. Bali joined the Everi Board in 2019. He currently serves as Chairman of The Football Pools Ltd, the oldest pool betting organization in the world and Instant Win Gaming Ltd., a provider of mobile instant win games to state lottery operators in Europe and North America. In addition, Mr. Bali is an investor in, and advisor to, a range of privately held lottery, sports betting, igaming and fintech businesses. He also serves as a director on the board of Rainbow Rare Earths PLC, a UK listed producer of Rare Earth Metals with operations in South Africa and Burundi. Having qualified as a Chartered Accountant with KPMG, Mr. Bali joined GTECH Corporation (now IGT) in 1997, and over 13 years held various executive positions, including President and CEO of GTECH G2. Subsequently, he served as CEO of XEN Group from 2010 to 2012 and thereafter in divisional President & CEO roles at Aristocrat Technologies Inc. from 2012 to 2014, RealNetworks, Inc. from 2014 to 2015, Gaming Realms PLC where he served on the board of directors from 2014 to 2018 and held the position of Deputy Chairman from 2015 to 2018 and Chairman of the Board of Meridian Tech Holdings Ltd from 2016 to 2021.

Darren D. A. Simmons

Darren Simmons' career spans 25 years with deep experience in financial services, gaming, business development, and professional sports with a proven track record of building and leading successful teams. As Executive Vice President and FinTech Business Leader at Everi, Darren is responsible for managing the profitability of the FinTech business and leading product management, product innovation, operations, and sales support. For the past 12 years, Darren has served in a variety of senior management roles at Everi where he has been a key player in the expansion of the FinTech product portfolio and growth of the business. He directed Everi's successful implementation of Europay, Mastercard and Visa (EMV) chip signature for ATM devices and other strategic product developments for customers worldwide. Prior to Everi, Darren served as Director of Corporate Sales for First Data Corporation, a multibillion dollar financial services company, and as Manager of Corporate Sponsorships for the professional ice hockey team Edmonton Oilers. Darren earned his bachelor's degree from the University of Alberta in Edmonton.

David J. Lucchese

David Lucchese is a proven gaming industry veteran with more than 30 years' experience in the gaming and financial services industries. Dave joined the company in 2010 as Executive Vice President of Sales and has served in a variety of senior executive roles including Executive Vice President of Client Services supporting the combination of Global Cash Access, Inc. and Multimedia Games (MGAM) in 2014 and then as Executive Vice President of Games for this newly-acquired Games division from 2014 to 2017. Most recently, Dave was our Executive Vice President, Digital and Interactive Business Leader to lead the strategy and development of the company's Interactive Division before moving into the role of Executive Vice President, Sales, Marketing & Digital in April 2020 to drive our spirit of innovation, operational efficiency and high customer integrity throughout his organization and the Company. Before Everi, David spent 25 years in sales positions at Bally Technologies, Inc., Aristocrat Technologies, Inc., and Casino Data Systems. At each stop, David served in various sales leadership roles. His first position in the gaming industry - as a Sales Account Executive - was in 1989 with Bally Gaming. David earned a Bachelor of Science in Marketing and Management from Indiana University.

Dean A. Ehrlich

Dean Ehrlich brings decades of experience as a proven leader in the gaming industry to his role as Everi's Executive Vice President, Games Business Leader. Dean has dedicated his entire professional career to the gaming industry, and this expansive background has more than prepared him to lead the Games business, including oversight of the product development, manufacturing and supply chain, along with all other gaming operations. Prior to joining Everi, Dean had a long career at WMS Industries, which was acquired by Scientific Games in 2013, and was most recently Senior Vice President of Global Gaming Operations. During his 12 years, he also served as Vice President of North American Sales and Executive Director of Product Management. Previously, Dean spent 9 years at Anchor Gaming in multiple leadership roles, most recently as General Manager for the proprietary games division. Dean holds a Bachelor of Arts degree from San Diego State University.

Eileen F. Raney

Eileen Raney has served as a member of the Board since February 2016. Ms. Raney has also served on the board of the University Medical Center of Southern Nevada from 2014 to 2017 serving as Vice Chair of the Board of Governors and Chair of the Audit and Finance Committee and Strategy Committee. She has been a member of the Advisory Board for the UNLV Libraries since 2010, has been a member of the advisory board of Fino Consulting since June 2015 and has served as a member of the Board of Directors and the Board's Finance Committee at the Nevada Health Centers from 2013 to 2015. From January 2011 to November 2013, Ms. Raney served as a member of the Board and a member of the Audit, Compensation and Governance Committees of the Board of SHFL Entertainment, Inc., a global gaming supplier that was acquired by Bally Technologies, Inc. in November 2013. She also served as a member of the Board and Finance Committee of the Board of Nevada Health Centers, a federally qualified health center in Nevada from April 2013 to April 2015. From 1988 to 2007, Ms. Raney held numerous positions with Deloitte & Touche USA, LLP, where she was hired as a Director in 1988 and made Principal in 1990. Her last position prior to retirement was National Managing Principal, Research & Development and Member, Deloitte & Touche USA Executive Committee from 2003 to 2007. She was a member of the Deloitte Board of Directors from 2000-2003 while serving as the Human Capital E-Business Leader. She also held the positions of Global Leader, Integrated Health Group from 1996 to 2000; and Western Regional Leader and National Co-Leader, Integrated Health Group from 1988 to 1996.

Geoff Judge has served as a member of the Board since September 2006. Mr. Judge is a Venture Partner at iNovia Capital, a manager of early stage venture capital funds. He has been with this venture firm since 2010 and has been an active private equity investor since 2002. From 2003 to 2005, he was an investor in and the Chief Operating Officer of Preclick, a digital photography software firm. In 2002, he was the Chief Operating Officer of Media Solution Services, Inc., a provider of credit card billing insert media. From 1997 to 2002, Mr. Judge was a co-founder and Senior Vice President and General Manager of the media division of 24/7 Real Media. From 1995 to 1997, he was a Vice President of Marketing for iMarket, Inc., a software company. From 1985 to 1994, Mr. Judge was a Vice President and General Manager in the credit card division of American Express.

Kate C. Lowenhar-Fisher

A leading Nevada gaming attorney with a global reputation, Kate Lowenhar-Fisher brings extensive gaming regulatory experience to Everi. Kate has spent more than 18 years in private practice counseling many of the world's premier gaming companies on regulatory issues in connection with mergers and acquisitions, corporate restructuring, reorganizations and financings. Prior to joining Everi, Kate was an Equity Member in the Las Vegas office of Dickinson Wright PLLC, where she chaired the firm's Gaming & Hospitality Practice Group. During her time at Dickinson Wright, she was a member of the legal team that wrote the definitive book on casino gaming law in the United States, having co-authored the 2016-2020 editions of the LexisNexis publication "Gaming Law and Practice." Prior to joining Dickinson Wright, Ms. Lowenhar-Fisher served as a shareholder at Brownstein Hyatt Farber Schreck, LLP, where she specialized in gaming law and commercial transactions. Kate is ranked in both Chambers and Best Lawyers in America for gaming law and is the go-to gaming resource for major media outlets. Kate is a member of the International Association of Gaming Advisors and the International Masters of Gaming Law. Kate is also deeply committed to the community. She serves as a director of Nevada PEP and as Chairman of the Board of the Grant a Gift Autism Foundation and the Ackerman Center. She holds a B.A. in International Relations from Stanford University, a J.D. from the Emory University School of Law and is admitted to the bar in both Nevada and California.

Linster W. Fox

Linster Fox has served as a member of the Board since May 2016. Mr. Fox served as Executive Vice President, Chief Financial Officer and Secretary of SHFL Entertainment, Inc., a global gaming supplier, from 2009 up until the company's acquisition by Bally Technologies, Inc. in November 2013. He has also served on the Executive Advisory Board of the Lee Business School at the University of Nevada-Las Vegas from 2015 to 2016, served as interim Chief Financial Officer of Vincotech in 2009 and as Executive Vice President, Chief Financial Officer and Secretary of Cherokee International Corp. from 2005 to 2009. He has also served in a variety of executive roles over the course of 18 years at Anacomp, Inc., including Executive Vice President and Chief Financial Officer and as a member of the company's Board of Directors. He began his career as an accountant at PriceWaterhouseCoopers LLC, is a Certified Public Accountant and has a B.S.B.A. from Georgetown University in Washington, D.C.

Mark F. Labay has served as our Executive Vice President, Chief Financial Officer and Treasurer since April 1, 2020, having previously served as the Company's Senior Vice President, Finance and Investor relations since April 2014. During his tenure at Everi, Mark has held several senior level positions in the areas of Operations, Strategic Development and was our Vice President of Finance and Controller from 2002- 2008. Mark graduated with honors from the University of Florida with a bachelor's degree in accounting and a master's in accounting. He is a member of the American Institute of Certified Public Accountants and a member of the Nevada Society of Certified Public Accountants.

Maureen T. Mullarkey

Maureen T. Mullarkey was appointed to the Board in March 2018. Ms. Mullarkey is a private investor and also serves on the Board of PNM Resources, Inc., as Chair of the Audit and Ethics and member of the Nominating and Governance Committees. PNM is the electric utility in the State of New Mexico. From 2008 through 2013, Ms. Mullarkey was a director of NV Energy, Inc. until the company was sold to Mid-American Energy Holdings Company, a subsidiary of Berkshire Hathaway, Inc. a. She was also an Entrepreneur in Residence with The Nevada Institute for Renewable Energy Commercialization from 2009 through 2011. In 2007, she retired from International Game Technology (now International Game Technology PLC), a leading supplier of gaming equipment and technology, where she held a variety of financial and executive management positions in her 18 years with the company. Her last position with International Game Technology was that of the Chief Financial Officer and Executive Vice President, a post she held from 1998 through 2007. Ms. Mullarkey has a B.S. from the University of Texas and an M.B.A. from the University of Nevada.

Michael D. Rumbolz - CEO, Chairman

Michael D. Rumbolz has served as our Chief Executive Officer since April 1, 2020, having previously served as our President and Chief Executive Officer from May 2016 through March 2020, and our Interim President and Chief Executive Officer from February 2016 to May 2016. From August 2008 to August 2010, he served as a consultant to the Company advising upon various strategic, product development and customer relations matters. He served as the Chairman and Chief Executive Officer of Cash Systems, Inc., a provider of cash access services to the gaming industry, from January 2005 until August 2008 when the Company acquired Cash Systems, Inc. Mike also has provided various consulting services and held various public and private sector employment positions in the gaming industry, including serving as Member and Chairman of the Nevada Gaming Control Board from January 1985 to December 1988. He is also the former Vice Chairman of the Board of Casino Data Systems, was the President and CEO of Anchor Gaming, was the Director of Development for Circus Circus Enterprises (later Mandalay Bay Group) and was the President of Casino Windsor at the time of its opening in Windsor, Ontario. In addition, Mike is the former Chief Deputy Attorney General of the State of Nevada. Mike currently serves as a Director of Seminole Hard Rock Entertainment, LLC and a Director of VICI Properties Inc. (NYSE: VICI).

Paul Finch was the chief executive officer of Early Warning Services from 2003 to April of 2019. As a recognized financial technology innovator, he successfully guided Early Warning through several transformations, beginning with the transition to a bank-owned consortium model in 2006, and continuing with a series of strategic acquisitions and partnerships, including Austin Logistics, Authentify®, Payfone® and clearXchangeTM. Under Finch's leadership, Early Warning consistently achieved year-over-year growth and expanded beyond its Scottsdale headquarters to include offices around the U.S. Finch is responsible for building an executive leadership team that has established Early Warning as the pre-eminent provider of real-time payments, risk and authentication solutions to financial institutions nationwide.

Randy L. Taylor - COO, President

Randy Taylor has served as President and COO since April 1, 2020, having previously served as the Company's Executive Vice President, Chief Financial Officer and Treasurer since March 2014. Randy started with the Company in November 2011 as Senior Vice President and Controller. Before joining Everi, Randy worked at Citadel Broadcasting Corporation for 10 years in an assortment of finance roles, including Chief Financial Officer and Principal Financial Accounting Officer. Randy also worked in a variety of finance positions in the gaming industry with Showboat, Inc, Aladdin Gaming, LLC and Bally Technologies starting in late 1994. Although a native of Nevada, Randy received a Bachelor of Science in Accounting from the University of Denver and began his career in public accounting with KPMG in Denver Colorado in July 1984. He returned to Nevada in November 1990 with KPMG and began serving gaming and non-gaming clients.

Richard P. Hallman - CIO, EVP

Rich Hallman joined Everi in July 2016. An information technology veteran, Rich has an extensive background with over 25 years of leadership experience. Prior to joining Everi, he served as Executive Vice President and Chief Information Officer with EMPLOYERS Insurance, where he spearheaded transformational technology initiatives throughout the company. These innovative initiatives garnered Rich and his team industry-wide recognition with peer awards, including Rich being named Technologist of the Year by Nevada's Center for Entrepreneurship and Technology in 2015. He previously served for five years as Vice President of Information Technology-Infrastructure and Operations at EMPLOYERS Insurance, managing enterprise-wide IT systems, acquisition integrations and critical data center operations. Prior to joining EMPLOYERS, Rich held senior IT leadership positions at Intuit, Inc., where he managed data center operations, IT site facilities and one of the company's business lines, providing outsourced payroll services for small business. While at Intuit, Inc., he also provided strategic and tactical IT support to various business units, while leading mergers and acquisition due diligence and integration initiatives. Rich was also the IT Operations Manager for Computing Resources Inc. providing direct technology management for ACH payroll processing to over 80 banking partners. Rich studied electrical engineering at Penn State University and is a Desert Storm veteran retired from the U.S. military, where he served for over 23 years in the Nevada Air National Guard and the U.S. Air Force.

Ronald V. Congemi

Ron Congemi has served as a member of the Board since February 2013. He is an active member of the Philadelphia Federal Reserve's Payments Advisor Council and has served as a member of the board of Clearent LLC, a merchant processing company and as a consultant to the Acxsys Corporation of Canada; the operating arm of the Interac debit network of Canada. Ron served four years as CEO of First Data's Debit Services Group encompassing responsibility for all debit and Star branded network services for First Data. Prior, he held title as Senior Vice President of Concord EFS, Inc. and President of Concord's Network Services Group, with management responsibility for the Star network and financial institution processing. Ron founded Star Systems, Inc., building it to be the largest ATM and PIN-secure debit network in the country during his 17 year tenure as President and CEO. Previously he held positions at Visa International including Manager of Card Products USA, General Manager Visa Australia and Manager of Member Development Visa Asia-Pacific Region. Ron began his career with Texas Commerce Bank in the information systems and bank card management divisions.

Secil Tabli Watson

Ms. Watson has more than 25 years of experience in early start-up, large corporate and management consulting environments with deep understanding of digital, banking and financial technology. Until March 2021, as Executive Vice President and Head of Digital Solutions at Wells Fargo, she was responsible for digital transformation and oversaw innovations in payments, cyber-fraud and customer experience, including enhancing the bank's capabilities in the areas of mobile, authentication, fraud prevention, open banking APIs and P2P payments. During her 18 years at Wells Fargo, she transformed the bank's digital operations, managed key enterprise digital channels for consumers, businesses and commercial customers, and managed product P&Ls. She will bring to the Board a global perspective, having managed globally dispersed teams, including working in various geographies such as Australia and the United Kingdom. Ms. Watson is an independent director of Bank of Marin Bancorp and Bank of Marin, Mclarend Technology Acquisition Corporation, a Special Purpose Acquisition Company focused on acquiring fintech companies, and Landed, a start-up whose mission is to help essential workers own their homes, and she advises Fortune 500 and growth companies on digital transformation and product strategy. She is a long-time practitioner of Diversity and Inclusion workplace programs, an advocate for conservation, and passionate about creating great customer experiences that deliver both business and community value.

Timothy B. Richards - Chief Strategy Officer, EVP

Tim Richards, Executive Vice-President and Chief Strategy Officer at Everi, has been a proven thought leader at Everi since 2011. He has a distinguished ability to launch new and innovative products, and an expert knowledge of the gaming industry. In his nine-year tenure with Everi, Richards has held several executive positions including SVP and Chief Product Strategy Officer, SVP of Payment Innovations, SVP of Product Development, and GM/SVP Interactive Solutions. With over 25-years of professional experience in gaming technology, from product innovation to marketing and other executive roles, Tim brings a dynamic perspective to payments and gaming. He has previously served in leadership roles with Interblock, IGT, Progressive Gaming International, and Gaming Systems International. He earned a Bachelor of Science degree in Hotel Administration from UNLV.
