Dr. Koray Demir

Dr. Koray Demir is a founding partner of Baysal & Demir Law Firm. He has advised local and foreign enterprises in every aspect of commercial law, company law, competition law and intellectual property law for more than 10 years. Supported by his academic background, he has extensive experience in drafting and negotiating complex contracts, i.e. distribution agreements, agency agreements, franchise agreements, and leasing and factoring agreements. He also helps clients to manage their relationships with their suppliers and manufacturers. Koray is a well-known expert in warranties of title and quality cases and cases of unfair competition, as well as agents' and sole distributors' indemnity payments. He is also one of the leading academics in so-called group law (Konzernrecht). Koray assists clients in incorporating companies and branch offices and drafting and/or amending their articles of association. He advises board members in strategic executive decisions and helps clients to hold their general meetings. He also drafts charters for family-owned businesses and regulations for executive organs of stock companies. His strong academic background in so-called balance-based transactions and his understanding of the basic principles of bookkeeping allow him to evaluate and create solutions in technical bankruptcy situations, manage ordinary, conditional and/or authorised capital increases or decreases, and help clients in the formation of joint ventures, mergers, asset and share purchases, spin-offs, the separation of a division, changes of legal form, and liquidation. In the last 10 years he has been involved in various large-scale local and cross-border M&A transactions. Koray provides services for merger control and exemption filings. He provides legal opinions in cartel investigations and advice on general competition compliance matters in the sense of efficient monitoring and evaluation. Dr. Mustafa Göksu

Dr. Mustafa Göksu serves as an of counsel at Baysal & Demir Law Firm. He specialises in all aspects of civil procedure, compulsory enforcement (debt collection) and insolvency law. His main focus areas are mediation, litigation finance and the law of evidence, in both Turkish and comparative law. Mustafa teaches civil procedure, compulsory enforcement, bankruptcy and other relevant subjects (e.g. arbitration, mediation, legal writing) at Hacı Bayram Veli University as an assistant professor of law. He taught at multiple universities at undergraduate level as well as graduate level. He has presented numerous expert opinions to courts and advised several firms. As a visiting Fulbright Scholar, he carried out long-term pre- and post-doctorate research studies at the George Washington University in Washington, DC, and at Max-Planck-Institut für ausländisches u. internationales Privatrecht in Hamburg, Germany, with a government grant. Mustafa is the author of more than 20 publications, including books, peer-reviewed articles, translations etc. He is also the author of Civil Procedure and Dispute Resolution in Turkey, the only book in English on the subject, which also contains the complete English translations of the Turkish Code of Civil Procedure and other relevant statutes. He regularly lectures and speaks at conferences organised by universities, the Ministry of Justice and bar associations. Mustafa provides professional training especially on the subject of mediation, as well as on other aspect of civil procedure, to clients including, to date, several ministries, bar associations, public and private organisations. He has participated in several projects carried out by the Ministry of Justice and bar associations and is currently a member of the Scientific Committee responsible for drafting the new Turkish Code of Compulsory Enforcement and Bankruptcy. Dr. Ulaş Baysal

Dr. Ulaş Baysal is one of the partners at Baysal & Demir Law Firm. He is responsible for the employment practice of the firm. Ulaş advises companies on all aspects of individual and collective employment law as well as occupational health and safety (OHS) regulations. He regularly acts as an official mediator in negotiations between trade unions and employers/employers' associations. He is a well-known expert on collective bargaining disputes and he is called on for his expertise not only by the courts but also by the parties to the dispute. On the individual employment law side, he particularly focuses on disputes arising from c-level employment relationships. He assists clients in collective dismissal, restructurings and outsourcing transactions. Recently he has concentrated on mobility, remote work, and the gig economy and employment relations. Neşe Önder serves as an of counsel at Baysal & Demir Law Firm. She acted as partner responsible for insurance and reinsurance as well as competition and antitrust practice groups at the commercial and corporate law department of a major Turkish law firm for 11 years. She has been a listed arbitrator at the Turkish Insurance Arbitration Commission since 2017. She has worked mostly with foreign actors in the insurance and reinsurance industry and in particular with close ties to the London market.
