On June 25, 2018, EdR and certain affiliates of Greystar Real Estate Partners, LLC (collectively, "Greystar Real Estate Partners") announced that they had entered into an Agreement and Plan of Merger ("Merger Agreement"), pursuant to which Greystar Real Estate Partners would acquire all outstanding shares of EdR common stock for $41.50 in cash per share of EdR common stock (the "Transaction"). On August 13, 2018, EdR filed a Definitive Proxy Statement ("Proxy") with the U.S. Securities and Exchange Commission ("SEC") announcing that the special meeting of EdR's shareholders to vote on the Transaction was set for September 14, 2018. On September 14, 2018, EdR's shareholders voted to approve the Transaction, and on September 20, 2018, the Transaction was consummated ("Closing Date").
