Bill Hanigan is a partner at Hanigan Law Group. He is the former Chair of the Agribusiness, Cooperatives and Renewable Fuels departments at Dentons Davis Brown Law Firm where he practiced law for a dozen years. Thomas Fox

Thomas Fox serves as a business law attorney for Hanigan Law Group, PLC. Through his preparation and attention to detail, he strives to deliver practical solutions personalized to each client's individual needs. His primary areas of emphasis include corporate organization and governance, securities and corporate finance, mergers and acquisitions, contracts, and secured transactions. Corporate Organization and Governance: Thomas advises directors, officers, and other corporate constituents regarding various matters and issues pertaining to corporate organization and governance. He uniquely tailors a variety of documents to fit each client's needs. Securities and Corporate Finance: He advises clients regarding the raising of capital, including the complexities of state and federal securities laws and regulations, with an emphasis in unregistered offerings. Thomas has assisted with private placements, SEC reporting, and deregistration of securities. Mergers and Acquisitions: While facilitating the consolidation of business entities Thomas advises clients at all stages, from the initial letter of intent until post-closing. Valerie D. Bandstra

Valerie is an experienced corporate attorney with an emphasis in corporate finance and securities law. Valerie has advised corporate and business clients on a wide variety of corporate finance transactions including registered initial and follow-on public offerings under the 1933 Securities Act, Reg D private placements of preferred equity, convertible notes, common equity, SAFE offerings and Reg A+ offerings. Valerie also has in-depth experience in business acquisitions and commercial transactions including, most recently, the preparation and negotiation of capital expenditure procurement contracts for a Fortune Global 500 company. She advises clients on finance and credit agreements, corporate restructurings and corporate governance matters. Valerie also assists small-cap and mid-cap public companies in complying with Regulation A and Exchange Act reporting requirements including preparation and review of annual, semi-annual, quarterly and current reports, proxy statements, press releases and shareholder communications. Valerie received her J.D. with High Distinction from the University of Iowa College of Law and obtained her B.S. in Economics from Iowa State University where she graduated with distinction and in the Iowa State University Honors Program. Valerie is licensed to practice law in Iowa, is a member of the Iowa State Bar Association and a member of the American Bar Association including the Business Law Section.
