Bill Hanigan is a partner at Hanigan Law Group. He is the former Chair of the Agribusiness, Cooperatives and Renewable Fuels departments at Dentons Davis Brown Law Firm where he practiced law for a dozen years. He has a general practice including, but not limited to, the areas of business organizations and transactions, agribusiness and cooperatives, renewable fuels, mergers and acquisitions, finance, and securities.
Corporate Organization and Governance. Bill advises corporate officers, boards, and founders regarding corporate organization and governance. He designs governing documents and communications, navigates corporate finance opportunities, and assists with the application of federal and state securities laws.
Mergers and Acquisitions. Bill has effectively designed and help execute the mergers of public companies, private companies, and nonprofit corporations.
Agribusiness. Bill advises agricultural processors and supply chain participants about business development, financing, regulation, and reporting issues related to their industries.
Contracts. Bill has effectively negotiated financing, construction, management, marketing, and other commercial contracts to ensure organizations meet their short and long-term financial targets. In addition, he helps clients buy and sell important business assets.

He has advised both borrowers and financial institutions regarding conventional construction, revolving, and term financing commitments.
Bill is a frequent writer and speaker at various industry events. He has presented many times at the Land Investment Expo, a premier forum for businesses and individuals with an interest in farmland, investment real estate, commodities, economics, and rural development.
Brett Donahe serves as both a transactional and litigation attorney. Brett has a broad array of experience that includes assisting with high-value corporate transactions and drafting appellate briefs. Through his close attention to detail and persistence, Brett strives to meet and exceed each client's individualized needs. While maintaining a transactional and litigation practice, his primary areas of emphasis are corporate organization and governance, securities and corporate finance, mergers and acquisitions, and complex civil litigation.
Thomas Fox serves as a business law attorney for Hanigan Law Group, PLC. Through his preparation and attention to detail, he strives to deliver practical solutions personalized to each client's individual needs. His primary areas of emphasis include corporate organization and governance, securities and corporate finance, mergers and acquisitions, contracts, and secured transactions.
Corporate Organization and Governance: Thomas advises directors, officers, and other corporate constituents regarding various matters and issues pertaining to corporate organization and governance. He uniquely tailors a variety of documents to fit each client's needs.
Securities and Corporate Finance: He advises clients regarding the raising of capital, including the complexities of state and federal securities laws and regulations, with an emphasis in unregistered offerings. Thomas has assisted with private placements, SEC reporting, and deregistration of securities.
Mergers and Acquisitions: While facilitating the consolidation of business entities Thomas advises clients at all stages, from the initial letter of intent until post-closing.
Contracts: He drafts, reviews, and interprets financing, construction, management, marketing, and other commercial contracts to safeguard client needs and has drafted a variety of commercial contracts uniquely designed for each client.
Secured Transactions: Thomas advises clients regarding creditor/debtor relationships and Article 9 of the Uniform Commercial Code.
Valerie is an experienced corporate attorney with an emphasis in corporate finance and securities law. Valerie has advised corporate and business clients on a wide variety of corporate finance transactions including registered initial and follow-on public offerings under the 1933 Securities Act, Reg D private placements of preferred equity, convertible notes, common equity, SAFE offerings and Reg A+ offerings. Valerie also has in-depth experience in business acquisitions and commercial transactions including, most recently, the preparation and negotiation of capital expenditure procurement contracts for a Fortune Global 500 company. She advises clients on finance and credit agreements, corporate restructurings and corporate governance matters.
Valerie also assists small-cap and mid-cap public companies in complying with Regulation A and Exchange Act reporting requirements including preparation and review of annual, semi-annual, quarterly and current reports, proxy statements, press releases and shareholder communications.
Valerie received her J.D. with High Distinction from the University of Iowa College of Law and obtained her B.S. in Economics from Iowa State University where she graduated with distinction and in the Iowa State University Honors Program.
Valerie is licensed to practice law in Iowa, is a member of the Iowa State Bar Association and a member of the American Bar Association including the Business Law Section.
